THIRD AMENDMENT TO FIVE YEAR CREDIT AGREEMENT

THIRD AMENDMENT TO FIVE YEAR CREDIT AGREEMENT (this “Amendment”), dated as of May 22, 2026, is entered into among CVS Health Corporation, a Delaware corporation (the “Borrower”), the Lenders party hereto and Bank of America, N.A., as Administrative Agent. Except as otherwise provided herein, capitalized terms used herein which are not defined herein shall have the meanings set forth in the Credit Agreement (as defined below).

WHEREAS, the Borrower, the Lenders and the Administrative Agent entered into that certain Five Year Credit Agreement, dated as of May 16, 2022 (as amended by that certain First Amendment to Five Year Credit Agreement, dated as of March 23, 2023, that certain Second Amendment to Five Year Credit Agreement, dated as of May 16, 2024, and as further amended, amended and restated, supplemented or otherwise modified from time to time prior to the date hereof, the “Credit Agreement”); and

WHEREAS, the Borrower has requested that the Lenders amend the Credit Agreement as set forth below.

ADVISORY AGREEMENT    EXHIBIT 10.3    

This Advisory Agreement (this “Agreement”) is made and entered into as of April 17, 2026 (the “Effective Date”) by and betweenRecursion Pharmaceuticals, Inc. (the “Company”), and David Mauro, M.D., Ph.D. (“Advisor”) (each herein referred to individually as a “Party,” or collectively as the “Parties”).

1.SERVICES AND COMPENSATION

Advisor shall provide advice and information as part of the services described in Exhibit A(the “Services”) for the Company (or its designee). The Company agrees to provide Advisor the compensation described in Exhibit Afor Advisor’s performance of the Services. The role is designed to enable the smooth transition of Advisor’s work.

OUTSIDE DIRECTOR COMPENSATION POLICY

Recursion Pharmaceuticals, Inc. (the “Company”) believes that providing cash and equity compensation to members of its Board of Directors (the “Board,” and members of the Board, the “Directors”) represents an effective tool to attract, retain and reward Directors who are not employees of the Company (the “Outside Directors”). This Outside Director Compensation Policy (this “Policy”) is intended to formalize the Company’s policy regarding the compensation to its Outside Directors. Unless defined in this Policy, capitalized terms used in this Policy will have the meaning given to such terms in the Company’s 2021 Equity Incentive Plan (the “Plan”), or if the Plan is no longer in place, the meaning given to such terms or any similar terms in the equity plan then in place. Each Outside Director will be solely responsible for any tax obligations incurred by such Outside Director as a result of the equity and cash payments such Outside Director receives under this Policy.
