1. Purpose; Effective Date; Nasdaq Inducement Rules.

(a) Purpose. The TuHURA Biosciences, Inc. 2026 Inducement Equity Incentive Plan (the “Plan”) is intended to provide equity-based and cash incentive awards that qualify as employment inducement awards under the Nasdaq Rule. The Plan is intended to attract outstanding individuals to enter into employment with the Company or its Subsidiaries by offering such individuals the opportunity to acquire shares of the Company’s common stock, receive monetary payments based on the value of such common stock, or receive other incentive compensation, in each case as a material inducement to entering into employment with the Company or a Subsidiary.
