Ladies and Gentlemen:

CL Workshop Group Limited, a company incorporated in the British Virgin Islands (the “Company”), confirms its agreement (this “Agreement”) with Chaince Securities, LLC (“Chaince,” or the “Agent”), as follows.

1. Issuance and Sale of Shares. The Company agrees that, from time to time during the term of this Agreement, on the terms and subject to the conditions set forth herein, it may issue and sell through or to the Agent, as sales agent or, solely to the extent expressly permitted pursuant to Section 3(b), to the Agent as principal, American Depositary Shares (the “ADSs”) issued pursuant to the Deposit Agreement (as defined below), each representing eight (8) Class A ordinary shares of the Company, par value US$0.001 per share (the “Ordinary Shares”), which may be adjusted as appropriate to reflect any share splits, reverse share splits, stock dividends, reorganization, recapitalization, reclassification, combination, exchange of shares or other like change or transaction with respect to ADSs, having an aggregate offering price of up to US$200,000,000 (such ADSs issued or sold hereunder, the “Placement Shares” and such offering and sale transaction, the “ATM Program”); *provided however, *that in no event shall the Company issue or sell through the Agent such number of Placement Shares that (a) exceeds the number or dollar amount of ADSs registered on the effective Registration Statement (as defined below) pursuant to which the offering is being made, (b) exceeds the number of shares or dollar amount of ADSs registered on the Prospectus Supplement (as defined below), (c) the number or dollar amount of ADSs that would cause the Company or the offering of the Placement Shares to not satisfy the eligibility and transaction requirements for use of Form F-3, or (d) exceeds the number of ADSs then registered and available for issuance under the effective registration statement(s) on Form F-6 relating to the ADSs (the lesser of (a), (b), (c) and (d), the “Maximum Amount”), and provided further, however, that in no event shall the aggregate number of Ordinary Shares represented by the Placement Shares sold pursuant to this Agreement exceed the number of authorized but unissued Ordinary Shares (less Ordinary Shares issuable upon exercise, conversion or exchange of any outstanding securities of the Company or otherwise reserved from the Company’s authorized share capital) in the Company’s authorized share capital. Notwithstanding anything to the contrary contained herein, the parties hereto agree that compliance with the limitations set forth in this Section 1 on the number of Placement Shares issued and sold under this Agreement shall be the sole responsibility of the Company and that the Agent shall have no obligation in connection with such compliance, provided that the Agent acts in accordance with the parameters set forth by the Company in any Placement Notice (as defined below) delivered pursuant to this Agreement. The issuance and sale of Placement Shares through the Agent will be effected pursuant to the Registration Statement, although nothing in this Agreement shall be construed as requiring the Company to issue or sell any Placement Shares.

The Company has filed, in accordance with the provisions of the Securities Act of 1933, as amended, and the rules and regulations thereunder (collectively, the “Securities Act”), with the Securities and Exchange Commission (the “Commission”) a registration statement on Form F-3 (File No. 333-297543), including a base prospectus, relating to certain securities, including the Placement Shares, to be issued from time to time by the Company, and which incorporates by reference documents that the Company has filed or will file in accordance with the provisions of the Securities Exchange Act of 1934, as amended, and the rules and regulations thereunder (collectively, the “Exchange Act”). The Company has prepared a prospectus supplement specifically relating to the Placement Shares to be issued from time to time pursuant to this Agreement (the “Prospectus Supplement”) to the base prospectus included as part of such registration statement. The Company will furnish to the Agent, for use by the Agent, copies of the base prospectus included as part of such registration statement at the time it becomes effective, as supplemented by the Prospectus Supplement. Except where the context otherwise requires, such registration statement, and any post-effective amendment thereto, including all documents filed as part thereof or incorporated by reference therein, and including any information contained in a Prospectus (as defined below) subsequently filed with the Commission pursuant to Rule 424(b) under the Securities Act or deemed to be a part of such registration statement pursuant to Rule 430B of the Securities Act or any subsequent registration statement on Form F-3 filed pursuant to Rule 415 under the Securities Act by the Company to cover any Placement Shares, is herein called the “Registration Statement.” The base prospectus, including all documents incorporated or deemed incorporated therein by reference to the extent such information has not been superseded or modified in accordance with Rule 412 under the Securities Act (as qualified by Rule 430B(g) of the Securities Act), included in the Registration Statement, as it may be supplemented by the Prospectus Supplement, in the form in which such prospectus and/or Prospectus Supplement have most recently been filed by the Company with the Commission pursuant to Rule 424(b) under the Securities Act, together with any “issuer free writing prospectus” (as used herein, as defined in Rule 433 under the Securities Act (“Rule 433”)), relating to the Placement Shares that (i) is required to be filed with the Commission by the Company or (ii) is exempt from filing pursuant to Rule 433(d)(5)(i), in each case, in the form filed or required to be filed with the Commission or, if not required to be filed, in the form retained in the Company’s records pursuant to Rule 433(g), is herein called the “Prospectus.” Any reference herein to the Registration Statement, the Prospectus Supplement, the Prospectus or any issuer free writing prospectus shall be deemed to refer to and include the documents incorporated by reference therein, and any reference herein to the terms “amend,” “amendment” or “supplement” with respect to the Registration Statement or the Prospectus shall be deemed to refer to and include the filing after the execution hereof of any document with the Commission incorporated by reference therein (the “Incorporated Documents”), including, unless the context otherwise requires, the documents, if any, filed as exhibits to such Incorporated Documents.

For purposes of this Agreement, all references to the Registration Statement, the Prospectus or to any amendment or supplement thereto shall be deemed to include the most recent copy filed with the Commission pursuant to its Electronic Data Gathering Analysis and Retrieval System, or if applicable, the Interactive Data Electronic Application system when used by the Commission (collectively, “EDGAR”).

2. Placements. Each time that the Company wishes to issue and sell Placement Shares hereunder (each, a “Placement”), it will notify the Agent by electronic mail (or other method mutually agreed to in writing by the Company and the Agent) of the number or dollar value of Placement Shares to be issued, the time period during which sales are requested to be made, any limitation on the number of Placement Shares that may be sold in any one Trading Day (as defined below) and any minimum price below which sales may not be made (a “Placement Notice”), the form of which is attached hereto as Schedule 1. The Placement Notice shall originate from any of the individuals from the Company set forth on Schedule 3 (with a copy to each of the other individuals from the Company listed on such schedule), and shall be addressed to each of the individuals from the Agent set forth on Schedule 3, as such Schedule 3 may be amended from time to time in writing (including by e-mail). The Placement Notice shall be effective immediately upon receipt by the Agent unless and until (i) in accordance with the notice requirements set forth in Section 14, the Agent declines to accept the terms contained therein for any reason, in its sole discretion, (ii) the entire amount of the Placement Shares thereunder has been sold, (iii) in accordance with the notice requirements set forth in Section 14, the Company suspends or terminates the Placement Notice, which suspension and termination rights may be exercised by the Company for any reason in its sole discretion, (iv) the Company issues a subsequent Placement Notice with parameters superseding those on the earlier dated Placement Notice, or (v) this Agreement has been terminated under the provisions of Section 13. The amount of any discount, commission or other compensation to be paid by the Company to the Agent in connection with the sale of the Placement Shares shall be calculated in accordance with the terms set forth in Schedule 2. It is expressly acknowledged and agreed that neither the Company nor the Agent will have any obligation whatsoever with respect to a Placement or any Placement Shares unless and until the Company delivers a Placement Notice to the Agent and the Agent does not decline such Placement Notice pursuant to the terms set forth above, and then only upon the terms specified therein and herein. In the event of a conflict between the terms of Sections 2 or 3 of this Agreement and the terms of a Placement Notice, solely with respect to the specific terms of the applicable Placement expressly set forth therein, the terms of the Placement Notice will control.

3. Sale of Placement Shares by the Agent.

(a) Subject to the terms and conditions of this Agreement, for the period specified in a Placement Notice and unless the sale of the Placement Shares described therein has been declined, suspended, or otherwise terminated in accordance with the terms of this Agreement, the Agent will use its commercially reasonable efforts consistent with its normal trading and sales practices and applicable state and federal laws, rules and regulations and the rules of the Nasdaq Capital Market (the “Exchange”), to sell the Placement Shares up to the amount specified by the Company in, and otherwise in accordance with the terms of, such Placement Notice. The Agent will provide written confirmation to the Company (including by email correspondence to each of the individuals of the Company set forth on Schedule 3, if receipt of such correspondence is actually acknowledged by any of the individuals to whom the notice is sent, other than via auto-reply) no later than the opening of the Trading Day (as defined below) immediately following the Trading Day on which it has made sales of Placement Shares hereunder setting forth the number of Placement Shares sold on such day, the volume weighted average trading price of the Placement Shares sold, the compensation payable by the Company to the Agent pursuant to Section 2 with respect to such sales, and the Net Proceeds (as defined below) payable to the Company, as reflected on the applicable settlement statement issued by the executing/clearing broker. Subject to the terms of a Placement Notice, the Agent may sell Placement Shares by any method permitted by law deemed to be an “at the market offering” as defined in Rule 415(a)(4) of the Securities Act. “Trading Day” means any day on which the ADSs are purchased and sold on the principal market on which the ADSs are listed or quoted.

(b) During the term of this Agreement, the Agent shall act solely as agent and not as principal in connection with any sale of the Placement Shares, unless and until (i) the Agent has received all required regulatory approvals to act as principal, (ii) has delivered to the Company a written notice electing principal capacity (a “Principal Capacity Notice”), and (iii) the Company and the Agent have mutually agreed in writing to the terms of any such principal transaction. Nothing herein shall require the Agent to purchase any Placement Shares for its own account, maintain inventory in the ADSs, make a market in the ADSs, stabilize or support the price of the ADSs, or act as a financial advisor, fiduciary, underwriter or market participant other than as expressly set forth herein. The Agent shall have no liability for declining to purchase Placement Shares on a principal basis or for declining to engage in any activity that the Agent reasonably believes could raise regulatory, market-conduct, capital, settlement, clearing, litigation or reputational concerns. Prior to the effectiveness of any Principal Capacity Notice, the Agent shall not engage in (i) any short sale of any security of the Company or (ii) any sale of any security of the Company that the Agent does not own or any sale that is consummated by the delivery of a security of the Company borrowed by, or for the account of, the Agent. From and after the effectiveness of any Principal Capacity Notice, the Agent may act as principal under this Agreement; provided that the Agent will not effect short sales of the ADSs or sell any ADSs other than ADSs it acquires from the Company under this Agreement. During the term of this Agreement and notwithstanding anything to the contrary herein, the Agent agrees that in no event will the Agent engage in any market making, bidding, stabilization or other trading activity with regard to the ADSs, the Ordinary Shares or related derivative securities if such activity would be prohibited under Regulation M or other anti-manipulation rules under the Exchange Act.

4. Suspension of Sales.

(a) The Company or the Agent may, upon notice to the other party in writing (including by email correspondence to each of the individuals of the other party set forth on Schedule 3, if receipt of such correspondence is actually acknowledged by any of the individuals to whom the notice is sent, other than via auto-reply), or by telephone (confirmed immediately by verifiable email correspondence to each of the individuals of the other party set forth on *Schedule *3), suspend any sale of Placement Shares (a “Suspension”); provided, however, that such suspension shall not affect or impair any party’s obligations with respect to any Placement Shares sold hereunder prior to the receipt of such notice. While a Suspension is in effect, any obligation under Sections 7(l), 7(m), and 7(n) with respect to the delivery of certificates, opinions, or comfort letters to the Agent, shall be waived. Each of the parties agrees that no such notice under this Section 4 shall be effective against any other party unless it is made to one of the individuals named on Schedule 3 hereto, as such Schedule may be amended from time to time. During a Suspension, the Company shall not issue any Placement Notices and the Agent shall not sell any Placement Shares hereunder. The party that issued a suspension notice shall notify the other party in writing of the Trading Day on which the Suspension shall expire not later than twenty-four (24) hours prior to such Trading Day.

(b) Notwithstanding any other provision of this Agreement, during any period in which the Company is in possession of material non-public information with respect to the Company, the Company and the Agent agree that (i) no sale of Placement Shares will take place, (ii) the Company shall not request the sale of any Placement Shares, and (iii) the Agent shall not be obligated to sell or offer to sell any Placement Shares. The Agent may also suspend sales if the Agent becomes aware of information or circumstances that, in the Agent’s reasonable judgment, may require updated diligence, disclosure or deliverables before sales may appropriately resume. If the Agent reasonably determines that there is uncertainty regarding the Company’s FINRA Rule 5110 status or any FINRA filing or review obligation, the Agent may suspend or decline sales until such uncertainty is resolved to the Agent’s reasonable satisfaction.

(c) The Agent shall provide the Company with prompt written notice, which may be by email, of any suspension of sales, together with a general description of the basis for such suspension to the extent the Agent is not prohibited from doing so by applicable law, regulation, regulatory instruction or supervisory procedure.

(d) Following any suspension of sales, the Agent shall use commercially reasonable efforts to resume sales promptly after the conditions giving rise to such suspension have been resolved to the Agent’s reasonable satisfaction, all applicable conditions to sales have been satisfied, and the Agent has reasonably determined that it is appropriate to resume sales, unless otherwise instructed by the Company.

(e) If sales have been suspended by the Agent for more than five (5) consecutive Trading Days, the Company may request in writing that the Agent provide a written explanation of the continued basis for such suspension. The Agent shall respond to such request within two (2) Business Days, to the extent the Agent is not prohibited from doing so by applicable law, regulation, regulatory instruction, confidentiality obligation or supervisory procedure. If the Company reasonably believes that the conditions giving rise to the suspension have been resolved, the Company may request in writing that the Agent resume sales, and the Agent shall either (i) resume sales within two (2) Business Days after all conditions to resumption have been satisfied, or (ii) provide a written explanation of why continued suspension remains warranted, to the extent the Agent is not prohibited from doing so by applicable law, regulation, regulatory instruction, confidentially obligation or supervisory procedure. No suspension of sales by the Agent in accordance with this Section 4 shall constitute a breach of this Agreement by the Agent.

(f) Accounting Issue Suspension. Without limiting Section 4(a) or Section 4(b), the Agent may, immediately suspend sales of Placement Shares and decline to accept any Placement Notice, upon written notice to the Company (which may be by email), if an Accounting Issue (as defined in Section 7(z)) has occurred or the Agent reasonably believes, in good faith, that an Accounting Issue may have occurred. Any such suspension shall continue until (i) the Accounting Issue has been investigated and resolved to the reasonable satisfaction of the Agent, including, where applicable, through an amendment or supplement to the Registration Statement or the Prospectus, (ii) the Company has furnished to the Agent all information, documents and records requested by the Agent pursuant to Section 7(z) in connection with such Accounting Issue, and (iii) if requested by the Agent, the Company has delivered to the Agent a certificate of its Chief Executive Officer and Chief Financial Officer and, if further requested by the Agent, a letter of the Accountant (as defined below), in each case in form and substance reasonably satisfactory to the Agent, addressing the resolution of such Accounting Issue. Section 4(e) shall not require the Agent to resume sales during the continuance of any suspension under this Section 4(f), and no such suspension shall constitute a breach of this Agreement by the Agent or give rise to any liability of the Agent to the Company.

5. Sale and Issuance to the Agent; Settlement.

a. Sale of Placement Shares. On the basis of the representations and warranties herein contained and subject to the terms and conditions herein set forth, upon the Agent’s acceptance of the terms of a Placement Notice, and unless the sale of the Placement Shares described therein has been declined, suspended, or otherwise terminated in accordance with the terms of this Agreement, the Agent, for the period specified in the Placement Notice, will use its commercially reasonable efforts consistent with its normal trading and sales practices and applicable state and federal laws, rules and regulations and the rules of the Exchange to sell such Placement Shares up to the amount specified in, and otherwise in accordance with the terms of, such Placement Notice. The Company acknowledges and agrees that (i) there can be no assurance that the Agent will be successful in selling Placement Shares, (ii) the Agent will incur no liability or obligation to the Company or any other person or entity if it does not sell Placement Shares for any reason other than a failure by the Agent to use its commercially reasonable efforts consistent with its normal trading and sales practices and applicable state and federal laws, rules and regulations and the rules of the Exchange to sell such Placement Shares as required under this Agreement and (iii) the Agent shall be under no obligation to purchase Placement Shares on a principal basis pursuant to this Agreement, except as otherwise agreed by the Agent and the Company.

The Agent shall provide a written confirmation report (which may be by electronic mail) to the Company following the close of each Trading Day setting forth (among others) (A) the number of Placement Shares sold on such day and (B) the average price of the Placement Shares sold on such day, no later than the opening of the Trading Day immediately after the Settlement Date. The amount of proceeds to be delivered to the Company on a Settlement Date against receipt of the Placement Shares sold (the “Net Proceeds”) will be equal to the aggregate sales price for the Placement Shares sold, less (i) the Agent’s commission, discount or other compensation for such sales payable by the Company pursuant to Schedule 2 hereof and the Expense Allowance, and (ii) any transaction fees imposed by any governmental or self-regulatory organization and any applicable clearing costs incurred by the Agent in respect of such sales, in each case as reflected on the settlement statement issued by the executing/clearing broker. The Agent will not receive, hold, or control any investor or Company funds or securities; all settlement information provided to the Company will be reflected in trade confirmations or a settlement statement from the executing/clearing broker.

c. Delivery of Placement Shares. On each Settlement Date, the executing/clearing broker will deliver the related Net Proceeds in same day funds to an account designated by the Company on, or prior to, the Settlement Date. The Agent will not receive, hold, or control any customer, investor, or Company funds or securities. The Agent shall be responsible for providing issuance instructions or other instructions for delivery by other means with regard to the transfer of the Placement Shares being sold. The Company agrees that if the Company, its transfer agent or the Depositary (if applicable), defaults in its obligation to issue and deliver Placement Shares on a Settlement Date through no fault of the Agent, then in addition to and in no way limiting the rights and obligations set forth in Section 11(a) hereto, it will (i) hold the Agent harmless against any loss, claim, damage, or reasonable, documented expense (including reasonable and documented legal fees and expenses), as incurred, arising out of or in connection with such default by the Company, its transfer agent or the Depositary (if applicable) and (ii) pay to the Agent (without duplication) any commission, discount, or other compensation to which it would otherwise have been entitled absent such default.

g. Subsidiaries. The Company owns directly or indirectly, all of the equity interests of the Subsidiaries free and clear of any lien, charge, security interest, encumbrance, right of first refusal or other restriction, and all the equity interests of the Subsidiaries are validly issued and are fully paid, nonassessable and free of preemptive and similar rights. r. No Litigation. There are no legal, governmental or regulatory actions, suits or proceedings pending, nor, to the Company’s knowledge, any legal, governmental or regulatory investigations, to which the Company or a Subsidiary is a party or to which any property of the Company or any Subsidiary is the subject that, individually or in the aggregate, if determined adversely to the Company or any Subsidiary, would have a Material Adverse Effect or materially and adversely affect the ability of the Company to perform its obligations under this Agreement; to the Company’s knowledge, no such actions, suits or proceedings are threatened or contemplated in writing by any governmental or regulatory authority or threatened in writing by others that, individually or in the aggregate, if determined adversely to the Company or any Subsidiary, would have a Material Adverse Effect; and there are no current or pending legal, governmental or regulatory actions, suits, proceedings or, to the Company’s knowledge, investigations that are required under the Securities Act to be described in the Prospectus that are not described in the Prospectus (including any Incorporated Document).

Neither the Company nor any Subsidiary has received written notice of any proceeding relating to revocation or modification of any such Permit or has any reason to believe that such Permit will not be renewed in the ordinary course, except where the failure to obtain any such renewal would not, individually or in the aggregate, have a Material Adverse Effect.

Neither the Company nor any Subsidiary has defaulted on any installment on indebtedness for borrowed money or on any rental on one or more long-term leases, which defaults, individually or in the aggregate, would have a Material Adverse Effect. The Company has not filed a report pursuant to Section 13(a) or 15(d) of the Exchange Act since the filing of its last Annual Report on Form 20-F, indicating that it (i) has failed to pay any dividend or sinking fund installment on preferred stock or (ii) has defaulted on any installment on indebtedness for borrowed money or on any rental on one or more long-term leases, which defaults, individually or in the aggregate, would have a Material Adverse Effect.

u. Certain Market Activities. Neither the Company, nor any Subsidiary, nor, to the knowledge of the Company, any of their respective directors, officers or controlling persons has taken, directly or indirectly, any action designed, or that has constituted or would cause or result in, under the Exchange Act or otherwise, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Placement Shares. w. No Reliance. The Company has not relied upon any Agent or legal counsel for the Agent for any legal, tax or accounting advice in connection with the offering and sale of the Placement Shares.

x. Taxes. The Company and the Subsidiaries have filed all federal, state, local and foreign tax returns which have been required to be filed and paid all taxes shown thereon through the date hereof, to the extent that such taxes have become due and are not being contested in good faith, except where the failure to do so would not have a Material Adverse Effect. Except as otherwise disclosed in or contemplated by the Registration Statement or the Prospectus, no tax deficiency has been determined adversely to the Company or any Subsidiary which has had, or would have, individually or in the aggregate, a Material Adverse Effect. The Company has no knowledge of any federal, state or other governmental tax deficiency, penalty or assessment which has been or might be asserted or threatened against it which would have a Material Adverse Effect.

Any real property described in the Registration Statement or Prospectus as being leased by the Company and the Subsidiaries is held by them under valid, existing and enforceable leases, except those that (A) do not materially interfere with the use made or proposed to be made of such property by the Company or the Subsidiaries or (B) would not, individually or in the aggregate, have a Material Adverse Effect.

In the last two (2) years prior to the date of this Agreement, the Company and the Subsidiaries have not received any written notice of any claim of infringement or conflict which asserted Intellectual Property rights of others, which infringement or conflict, if the subject of an unfavorable decision, would result in a Material Adverse Effect. There are no pending, or to the Company’s knowledge, threatened judicial proceedings or interference proceedings challenging the Company’s or any Subsidiary’s rights in or to or the validity of the scope of any of the Company’s or its Subsidiaries’ patents, patent applications or proprietary information. To the Company’s knowledge, no other entity or individual has any right or claim in any of the Company’s or any of its Subsidiary’s patents, patent applications or any patent to be issued therefrom by virtue of any contract, license or other agreement entered into between such entity or individual and the Company or any Subsidiary or by any non-contractual obligation, other than by written licenses granted by the Company or any Subsidiary. In the last two (2) years prior the date of this Agreement, the Company has not received any written notice of any claim challenging the rights of the Company or its Subsidiaries in or to any Intellectual Property owned, licensed or optioned by the Company or any Subsidiary which claim, if the subject of an unfavorable decision, would result in a Material Adverse Effect.

aa. Compliance with Applicable Laws. The Company and the Subsidiaries: (a) are and at all times have been in material compliance with all statutes, rules and regulations applicable to the ownership, testing, development, manufacture, packaging, processing, use, distribution, marketing, labeling, promotion, sale, offer for sale, storage, import, export or disposal of any product under development, manufactured or distributed by the Company or the Subsidiaries (“Applicable Laws”), (b) have not received any notice or communication from any federal, state, local or foreign governmental or regulatory authority alleging or asserting material noncompliance with any Applicable Laws or any licenses, certificates, approvals, clearances, authorizations, permits and supplements or amendments thereto required by any such Applicable Laws (“Authorizations”), which would, individually or in the aggregate, result in a Material Adverse Effect, (c) possess all material Authorizations necessary for its operations as currently conducted and such Authorizations are valid and in full force and effect and neither the Company nor the Subsidiaries is in material violation of any term of any such Authorizations; and (d) have filed, obtained, maintained or submitted all reports, documents, forms, notices, applications, records, claims, submissions and supplements or amendments as required by any Applicable Laws or Authorizations except where the failure to file such reports, documents, forms, notices, applications, records, claims, submissions and supplements or amendments would not result in a Material Adverse Effect, and that all such reports, documents, forms, notices, applications, records, claims, submissions and supplements or amendments were materially complete and correct on the date filed (or were corrected or supplemented by a subsequent submission).

A sufficient number of ADSs are registered and available for issuance under such registration statement(s) on Form F-6 to permit the issuance and delivery of the Placement Shares contemplated by each applicable Placement Notice. The Deposit Agreement has been duly authorized, executed and delivered by the Company and, assuming due authorization, execution and delivery by the Depositary, constitutes a valid and legally binding agreement of the Company, enforceable against the Company in accordance with its terms, except to the extent that enforceability may be limited by bankruptcy, insolvency, reorganization, moratorium or similar laws affecting creditors’ rights generally and by general equitable principles. The Depositary has not notified the Company of any intention to resign as depositary under the Deposit Agreement, and the Company has not received any notice from the Depositary of any breach of, or default under, the Deposit Agreement. The Company has taken, or prior to any applicable Settlement Date will have taken, all actions required of it under the Deposit Agreement and the applicable procedures of the Depositary relating to the Company’s ATM reserve arrangement to permit the timely issuance, release, reissuance and/or delivery, as applicable, of the Placement Shares contemplated hereby on the applicable Settlement Date.

cc. Environmental Laws. The Company and the Subsidiaries (i) are in compliance with any and all applicable federal, state, local and foreign laws, rules, regulations, decisions and orders relating to the protection of human health and safety, the environment or hazardous or toxic substances or wastes, pollutants or contaminants (collectively, “Environmental Laws”); (ii) have received and are in compliance with all permits, licenses or other approvals required of them under applicable Environmental Laws to conduct their respective businesses as described in the Registration Statement and the Prospectus; and (iii) have not received notice of any actual or potential liability for the investigation or remediation of any disposal or release of hazardous or toxic substances or wastes, pollutants or contaminants, except, in the case of any of clauses (i), (ii) or (iii) above, for any such failure to comply or failure to receive required permits, licenses, other approvals or liability as would not, individually or in the aggregate, have a Material Adverse Effect.

dd. Internal Controls; Disclosure Controls. The Company maintains a system of internal accounting controls sufficient to provide reasonable assurance that (i) transactions are executed in accordance with management’s general or specific authorizations; (ii) transactions are recorded as necessary to permit preparation of financial statements in conformity with GAAP and to maintain asset accountability; (iii) access to assets is permitted only in accordance with management’s general or specific authorization; and (iv) the recorded accountability for assets is compared with the existing assets at reasonable intervals and appropriate action is taken with respect to any differences. The Company has disclosed in its most recent Annual Report on Form 20-F that it has identified material weaknesses in its internal control over financial reporting relating to the lack of in-house accounting personnel with sufficient knowledge of U.S. GAAP and SEC reporting experience, and that the Company’s disclosure controls and procedures as of December 31, 2025 were not effective. Such material weaknesses and ineffective disclosure controls and procedures have been disclosed in the Registration Statement and the Prospectus. The Company has developed, and is in the process of implementing, a remediation plan to address such material weaknesses, including (i) hiring internal qualified accounting personnel with relevant U.S. GAAP and SEC reporting experience and qualifications to strengthen the financial reporting function and to set up a financial and system control framework, (ii) implementing regular and continuous U.S. GAAP accounting and financial reporting training programs for the Company’s accounting and financial reporting personnel, (iii) setting up an internal audit function as well as engaging an external consulting firm to assist the Company with assessment of Sarbanes-Oxley compliance requirements and improvement of overall internal control, and (iv) appointing independent directors, establishing an audit committee, and strengthening corporate governance. Other than as set forth in the Registration Statement or the Prospectus, since the date of the latest audited financial statements of the Company included in the Prospectus, there has been no change in the Company’s internal control over financial reporting that has materially affected, or is reasonably likely to materially affect, the Company’s internal control over financial reporting. The Company has established disclosure controls and procedures (as defined in Exchange Act Rules 13a-15 and 15d-15) that comply with the requirements of the Exchange Act. The Company’s certifying officers have evaluated the effectiveness of the Company’s controls and procedures as of a date within 90 days prior to the filing date of the Form 20-F for the fiscal year most recently ended (such date, the “Evaluation Date”). The Company presented in its Form 20-F for the fiscal year most recently ended the conclusions of the certifying officers about the effectiveness of the disclosure controls and procedures based on their evaluations as of the most recent Evaluation Date. Except for the material weaknesses described above, (i) the Company has not identified, and neither the Accountant nor any other person has advised the Company, its board of directors or its audit committee of, any other material weakness or significant deficiency in the Company’s internal control over financial reporting (whether or not remediated), and (ii) the Company is not aware of any fraud, whether or not material, involving management or other employees who have a significant role in the Company’s internal control over financial reporting. To the Company’s knowledge, none of such material weaknesses has resulted in any material misstatement in, or material omission from, the financial statements included or incorporated by reference in the Registration Statement and the Prospectus (including the Interim Financial Statement, if and when included or incorporated by reference therein), and the Company has designed and applied such additional procedures in the preparation of the Interim Financial Statements as are reasonably necessary to compensate for such material weaknesses.

There is and has been no failure on the part of the Company or, to the knowledge of the Company, any of the Company’s directors or officers, in their capacities as such, to comply in all material respects with any applicable provisions of the Sarbanes-Oxley Act and the rules and regulations promulgated thereunder. Each of the principal executive officer and the principal financial officer of the Company (or each former principal executive officer of the Company and each former principal financial officer of the Company as applicable) has made all certifications required by Sections 302 and 906 of the Sarbanes-Oxley Act with respect to all reports, schedules, forms, statements and other documents required to be filed by it or furnished by it to the Commission during the past 12 months. jj. Off-Balance Sheet Arrangements. There are no transactions, arrangements and other relationships between and/or among the Company, and/or, to the knowledge of the Company, any of its affiliates and any unconsolidated entity, including, but not limited to, any structured finance, special purpose or limited purpose entity (each, an “Off Balance Sheet Transaction”) that would affect materially the Company’s liquidity or the availability of or requirements for its capital resources, including those Off Balance Sheet Transactions described in the Commission’s Statement about Management’s Discussion and Analysis of Financial Conditions and Results of Operations (Release Nos. 33-8056; 34-45321; FR-61), required to be described in the Registration Statement or the Prospectus which have not been described as required.

kk. Underwriter Agreements. Other than with respect to this Agreement, the Company is not a party to any agreement with an agent or underwriter for any other “at the market” or continuous equity transaction.

ll. No Stamp or Other Taxes. Except as disclosed in the Registration Statement, the Prospectus, the Prospectus Supplement or any documents incorporated by reference therein, other than for any net income, capital gains or franchise taxes imposed on the Agent by authorities in the British Virgin Islands as a result of any present or former connection (other than any connection solely resulting from this Agreement) between the Agent and the British Virgin Islands, no stamp or other issuance or transfer taxes or duties and no capital gains, income or other taxes are payable by or on behalf of the Agent, or otherwise imposed on any payments made to the Agent, to any British Virgin Islands authority, any authority in the People’s Republic of China (the “PRC,” for the avoidance of doubt, the PRC does not include the Hong Kong Special Administrative Region, the Macau Special Administrative Region or Taiwan), or any political subdivision or taxing authority thereof in connection with (i) the execution, delivery or performance by the Company of this Agreement or (ii) the initial issue and sale of the Placement Shares by the Agent to the initial purchasers thereof.

mm. Forward-Looking Statements. No forward-looking statement (within the meaning of Section 27A of the Securities Act and Section 21E of the Exchange Act) (a “Forward-Looking Statement”) contained in the Registration Statement and the Prospectus has been made or reaffirmed without a reasonable basis or has been disclosed other than in good faith.

nn. Margin Rules. Neither the issuance nor sale of the Placement Shares nor the application of the proceeds thereof by the Company as described in the Registration Statement and the Prospectus will violate Regulation T, U or X of the Board of Governors of the Federal Reserve System.

a. Registration Statement Amendments. b. Notice of Commission Stop Orders. The Company will advise the Agent, promptly after it receives notice or obtains knowledge thereof, of the issuance or threatened issuance by the Commission of any stop order suspending the effectiveness of the Registration Statement, of the suspension of the qualification of the Placement Shares for offering or sale in any jurisdiction, or of the initiation or threatening of any proceeding for any such purpose; and it will use its commercially reasonable efforts to prevent the issuance of any stop order or to obtain its withdrawal if such a stop order should be issued. The Company will advise the Agent promptly after it receives any request by the Commission for any amendments to the Registration Statement or any amendment or supplements to the Prospectus or any Issuer Free Writing Prospectus or for additional information related to the offering of the Placement Shares or for additional information related to the Registration Statement, the Prospectus or any Issuer Free Writing Prospectus.

c. Delivery of Prospectus; Subsequent Changes. During the Prospectus Delivery Period, the Company will comply with all requirements imposed upon it by the Securities Act, as from time to time in force, and to file on or before their respective due dates (taking into account any extensions available under the Exchange Act) all reports and any definitive proxy or information statements required to be filed by the Company with the Commission pursuant to Sections 13(a), 13(c), 14, 15(d) or any other provision of or under the Exchange Act. If during the Prospectus Delivery Period the Company has omitted any information from the Registration Statement pursuant to Rule 430A under the Securities Act, it will use its commercially reasonable efforts to comply with the provisions of and make all requisite filings with the Commission pursuant to said Rule 430A and to notify the Agent promptly of all such filings. If during the Prospectus Delivery Period any event occurs as a result of which the Prospectus as then amended or supplemented would include an untrue statement of a material fact or omit to state a material fact necessary to make the statements therein, in the light of the circumstances then existing, not misleading, or if during such Prospectus Delivery Period it is necessary to amend or supplement the Registration Statement or Prospectus to comply with the Securities Act, the Company will promptly notify the Agent to suspend the offering of Placement Shares during such period and the Company will promptly amend or supplement the Registration Statement or Prospectus (at the expense of the Company) so as to correct such statement or omission or effect such compliance; provided, however, that the Company may delay the filing of any such amendment or supplement only to the extent the Company determines in good faith, upon advice of counsel, that such delay is necessary to comply with applicable law, and provided further that during any such delay (and until such amendment or supplement is filed (and, if required, declared effective)), no Placement Notice shall be delivered and the Agent shall have no obligation to sell any Placement Shares hereunder.

d. Listing of Placement Shares. During the Prospectus Delivery Period, the Company will use its commercially reasonable efforts to cause the Placement Shares to be listed on the Exchange, to maintain the listing of the ADSs on the Exchange and to qualify the Placement Shares for sale under the securities laws of such jurisdictions in the United States as the Agent reasonably designate and to continue such qualifications in effect so long as required for the distribution of the Placement Shares; provided, however, that the Company shall not be required in connection therewith to qualify as a foreign corporation or dealer in securities, file a general consent to service of process, or subject itself to taxation in any jurisdiction if it is not otherwise so subject.

e. Delivery of Registration Statement and Prospectus. The Company will furnish to the Agent and its counsel (at the expense of the Company) copies of the Registration Statement, the Prospectus (including all documents incorporated by reference therein) and all amendments and supplements to the Registration Statement or Prospectus that are filed with the Commission during the Prospectus Delivery Period (including all documents filed with the Commission during such period that are deemed to be incorporated by reference therein), in each case as soon as reasonably practicable and in such quantities as the Agent may from time to time reasonably request and, at the Agent’s request, will also furnish copies of the Prospectus to each exchange or market on which sales of the Placement Shares may be made; provided, however, that the Company shall not be required to furnish any document (other than the Prospectus) to the Agent to the extent such document is available on EDGAR.

f. Earnings Statement. The Company will make generally available to its security holders as soon as practicable, but in any event not later than 15 months after the end of the Company’s current fiscal year, an earnings statement covering a 12-month period that satisfies the provisions of Section 11(a) and Rule 158 of the Securities Act, which requirement may be satisfied by publicly filing the required information on EDGAR.

g. Use of Proceeds. The Company will use the Net Proceeds as described in the Prospectus in the section entitled “Use of Proceeds.”

h. Notice of Other Sales. The Company (I) shall provide the Agent notice at least two (2) Trading Days before it offers, sells, contracts to sell, grants any option to sell or otherwise disposes of any Ordinary Shares or ADSs (other than the Placement Shares offered pursuant to this Agreement) or securities convertible into or exchangeable for Ordinary Shares or ADSs, warrants or any rights to purchase or acquire Ordinary Shares or ADSs during the period beginning on the date on which any Placement Notice is delivered to the Agent hereunder and ending on the third (3rd) Trading Day immediately after the final Settlement Date with respect to Placement Shares sold pursuant to such Placement Notice (or, if the Placement Notice has been terminated or suspended prior to the sale of all Placement Shares covered by a Placement Notice, the date of such suspension or termination), and (II) will not directly or indirectly in any other “at the market” or continuous equity transaction offer to sell, sell, contract to sell, grant any option to sell or otherwise dispose of any Ordinary Shares or ADSs (other than the Placement Shares offered pursuant to this Agreement) or securities convertible into or exchangeable for Ordinary Shares or ADSs, warrants or any rights to purchase or acquire Ordinary Shares or ADSs prior to the termination of this Agreement without the prior written consent of the Agent; provided, however, that such restrictions will not apply in connection with the Company’s issuance, grant or sale of (i) Ordinary Shares or ADSs, options to purchase Ordinary Shares or ADSs or Ordinary Shares or ADSs issuable upon the exercise of options or the exercise or vesting of other equity awards, pursuant to any stock option, other equity incentive plan or benefits plan, stock ownership plan or dividend reinvestment plan (but not Ordinary Shares subject to a waiver to exceed plan limits in its dividend reinvestment plan) of the Company whether now in effect or hereafter implemented; (ii) Ordinary Shares or ADSs issuable upon conversion of securities or the exercise of warrants, options or other rights in effect or outstanding, and disclosed in filings by the Company available on EDGAR or otherwise in writing, to the Agent, (iii) Ordinary Shares or ADSs, or securities convertible into or exercisable for Ordinary Shares or ADSs, offered and sold in a privately negotiated transaction to vendors, customers, strategic partners or potential strategic partners or other investors conducted in a manner so as not to be integrated with the offering of Placement Shares hereby and (iv) Ordinary Shares or ADSs in connection with any acquisition, strategic investment or other similar transaction (including any joint venture, strategic alliance or partnership). For avoidance of doubt, nothing herein (other than Section 7(v)) shall be construed to restrict the Company’s ability, or require the Company to provide notice to the Agent, to file a registration statement with the Commission. Notwithstanding the foregoing, the Company shall provide the Agent notice at least three (3) Business Days prior to commencing any private or public offerings of equity and/or other securities, including debt securities, in one or more transactions. In addition, and notwithstanding the foregoing exceptions, prior to the date on which any termination of this Agreement becomes effective in accordance with Section 13(f), the Company shall not, without the prior written consent of the Agent, (A) appoint, engage or retain any person other than the Agent to act as sales agent, placement agent or manager for any Replacement ATM Program (as defined in Section 7(v)), (B) enter into any sales agreement, equity distribution agreement or similar agreement in respect of a Replacement ATM Program, or (C) deliver any placement notice, instruction or direction to any Replacement Agent (as defined in Section 7(v)) to offer or sell any Ordinary Shares or ADSs.

i. Change of Circumstances. The Company will, at any time during the pendency of a Placement Notice advise the Agent promptly after it shall have received notice or obtained knowledge thereof, of any information or fact that would alter or affect in any material respect any opinion, certificate, letter or other document required to be provided to the Agent pursuant to this Agreement. The Company shall promptly notify the Agent of any restatement, non-reliance determination, change in or disagreement with accountants, new material weakness or significant deficiency, audit committee investigation, late filing, or other material audit or financial reporting matter that could affect the accuracy of the Registration Statement or Prospectus or the Company’s ability to conduct the ATM Program.

j. Due Diligence Cooperation. During the term of this Agreement, the Company will cooperate with any reasonable due diligence review conducted by the Agent or its representatives in connection with the transactions contemplated hereby, including, without limitation, providing information and making available documents and senior corporate officers, during regular business hours, whether remotely, electronically or otherwise, as the Agent may reasonably request.

k. Required Filings Relating to Placement of Placement Shares. The Company shall set forth in each Annual Report on Form 20-F and each current report on Form 6-K containing unaudited interim financial statements filed by the Company with the Commission in respect of any period during which sales of Placement Shares were made under this Agreement, the amount of Placement Shares sold through the Agent, the Net Proceeds to the Company and the compensation payable by the Company to the Agent with respect to such sales. To the extent the filing of a prospectus supplement with the Commission with respect to any such sales becomes required under Rule 424(b) under the Securities Act, the Company shall timely file such prospectus supplement.

l. Representation Dates; Certificate. Each time during the term of this Agreement that the Company:

(i) amends or supplements (other than a prospectus supplement relating solely to an offering of securities other than the Placement Shares or a prospectus supplement filed in accordance with Section 7(k) of this Agreement) the Registration Statement or the Prospectus relating to the Placement Shares by means of a post-effective amendment, sticker, or supplement but not by means of incorporation of documents by reference into the Registration Statement or the Prospectus relating to the Placement Shares;

(ii) files an annual report on Form 20-F under the Exchange Act (including any Form 20-F/A containing amended audited financial information or a material amendment to the previously filed Form 20-F);

(iii) files a current report on Form 6-K containing unaudited interim financial statements under the Exchange Act incorporated by reference into the Registration Statement or Prospectus; or

(iv) files a current report on Form 6-K containing amended financial information under the Exchange Act;

(Each date of filing of one or more of the documents referred to in clauses (i) through (iv) shall be a “Representation Date.”)

the Company shall furnish the Agent (but in the case of clause (iv) above only if the Agent reasonably determine that the information contained in such Form 6-K is material) with a certificate, in the form attached hereto as Exhibit 7(l) within five (5) Trading Days of any Representation Date. The requirement to provide a certificate under this Section 7(l) shall be automatically waived for any Representation Date occurring at a time at which no Placement Notice is pending, which waiver shall continue until the earlier to occur of the date the Company delivers a Placement Notice hereunder (which for such calendar quarter shall be considered a Representation Date) and the next occurring Representation Date on which the Company files its annual report on Form 20-F. Notwithstanding the foregoing, (i) upon the delivery of the first Placement Notice hereunder and (ii) if the Company subsequently decides to sell Placement Shares following a Representation Date when the Company relied on such waiver and did not provide the Agent with a certificate under this Section 7(l), then before the Agent sells any Placement Shares, the Company shall provide the Agent with a certificate, in the form attached hereto as Exhibit 7(l), dated the date of the Placement Notice.

m. Legal Opinion. On or prior to the date of the first Placement Notice given hereunder the Company shall cause to be furnished to the Agent (i) a written opinion and a negative assurance letter of McLaughlin & Stern, LLP (“Company US Counsel”), (ii) a written opinion of Ogier (“Company BVI Counsel” and together with Company US Counsel, the “Company Counsel”) and (iii) a written opinion of counsel to the Depositary, in form and substance reasonably satisfactory to the Agent, with respect to the valid issuance of the ADSs and such other matters relating to the Form F-6 and the Deposit Agreement as the Agent may reasonably request (or other counsel reasonably satisfactory to the Agent, each in form and substance reasonably satisfactory to the Agent). Thereafter, within five (5) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit 7(l) for which no waiver is applicable, the Company shall cause to be furnished to the Agent a negative assurance letter of Company US Counsel, substantially in the forms previously delivered to and accepted by the Agent, modified, as necessary, to relate to the Registration Statement and the Prospectus as then amended or supplemented, and, if reasonably requested by the Agent based on changes in law, facts, corporate authorization, share capital, listing status or other matters covered by the initial opinions, updated written opinions of applicable Company Counsel substantially in the forms previously delivered to and accepted by the Agent; provided that, in lieu of such legal opinion or negative assurance letter for subsequent periodic filings under the Exchange Act, such Company Counsel may furnish the Agent with a letter (a “Reliance Letter”) to the effect that the Agent may rely on the legal opinion or negative assurance letter previously delivered under this Section 7(m) to the same extent as if it were dated the date of such letter (except that statements in such prior letter shall be deemed to relate to the Registration Statement and the Prospectus as amended or supplemented as of the date of the Reliance Letter). The Company shall cause an updated opinion of counsel to the Depositary to be furnished to the Agent if reasonably requested by the Agent following any material amendment to the Form F-6 or the Deposit Agreement or any change in the number of Ordinary Shares represented by each ADS.

n. Comfort Letter. On or prior to the date of the first Placement Notice given hereunder and within five (5) Trading Days after each subsequent Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit 7(l) for which no waiver is applicable, other than pursuant to Section 7(l)(iii) or Section 7(l)(iv), unless with respect to a Representation Date under Section 7(l)(iii) or Section 7(l)(iv) the Agent reasonably requests delivery thereof, the Company shall cause the Accountants to furnish the Agent letters (the “Comfort Letters”), dated the date the Comfort Letter is delivered, which shall meet the requirements set forth in this Section 7(n). The Comfort Letter from the Accountants shall be in a form and substance reasonably satisfactory to the Agent, (i) confirming that they are an independent public accounting firm within the meaning of the Securities Act and the Public Company Accounting Oversight Board (the “PCAOB”), (ii) stating, as of such date, the conclusions and findings of such firm with respect to the financial information and other matters ordinarily covered by accountants’ “comfort letters” to underwriters in connection with registered public offerings (the first such letter, the “Initial Comfort Letter”) and (iii) updating the Initial Comfort Letter with any information that would have been included in the Initial Comfort Letter had it been given on such date and modified as necessary to relate to the Registration Statement and the Prospectus, as amended and supplemented to the date of such letter. Notwithstanding the foregoing, if the Agent so agrees in writing in its sole discretion, the Initial Comfort Letter may exclude the Interim Financial Statements, in which case the Company shall cause a Comfort Letter covering the Interim Financial Statements to be delivered in accordance with Section 7(aa), and such Comfort Letter shall thereafter be deemed to form part of, and shall be updated together with, the Initial Comfort Letter for all purposes of this Agreement.

o. Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Placement Shares or (ii) sell, bid for, or purchase Ordinary Shares or ADSs to be issued and sold pursuant to this Agreement in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent. The Company shall not engage in stabilization, price support, coordinated aftermarket activity, market manipulation, wash trading, matched orders, directed trading, coordinated investor communication or any other activity designed to influence the trading price or volume of the ADSs or the Ordinary Shares in connection with the ATM Program. The Company shall not influence trading behavior, encourage trading through informal or off-channel communications, compensate any person for soliciting purchases of the Placement Shares other than the Agent as expressly permitted by this Agreement, or take any action that would reasonably be expected to violate Regulation M, FINRA rules, Nasdaq rules, the Securities Act, the Exchange Act, PRC law, French law, Peruvian law, British Virgin Islands law or any other applicable securities law. The Company will not (i) provide the Agent with any targeted investor list, (ii) direct sales to specific persons, accounts or groups, (iii) coordinate investor participation in the ATM Program, (iv) encourage or arrange purchases by affiliates, related parties, officers, directors, employees, consultants, promoters, vendors, customers or strategic partners, or (v) use any nominee, omnibus, pass-through or coordinated account structure to facilitate purchases of Placement Shares or trading in the ADSs or the Ordinary Shares. The Company shall promptly disclose to the Agent any knowledge of unusual investor concentration, coordinated trading behavior, promotional activity, off-channel communications encouraging trading, or any third-party activity that could affect orderly trading in the ADSs or the Ordinary Shares. The Company shall not request any action by the Agent that the Company knows or reasonably should know would violate Regulation M, FINRA rules, Nasdaq rules, the Securities Act, the Exchange Act, or other applicable securities laws.

p. Investment Company Act. The Company will conduct its affairs in such a manner so as to reasonably ensure that neither it nor the Subsidiaries will be or become, at any time prior to the termination of this Agreement, an “investment company,” as such term is defined in the Investment Company Act.

q. No Offer to Sell. Other than an Issuer Free Writing Prospectus approved in advance by the Company and the Agent in its capacity as agent hereunder pursuant to Section 22, neither the Agent nor the Company (including its agents and representatives, other than the Agent in its capacity as such) will make, use, prepare, authorize, approve or refer to any written communication (as defined in Rule 405), required to be filed with the Commission, that constitutes an offer to sell or solicitation of an offer to buy Placement Shares hereunder.

r. Sarbanes-Oxley Act. The Company will maintain and keep accurate books and records reflecting its assets and maintain internal accounting controls in a manner designed to provide reasonable assurance regarding the reliability of financial reporting and the preparation of financial statements for external purposes in accordance with GAAP and including those policies and procedures that (i) pertain to the maintenance of records that in reasonable detail accurately and fairly reflect the transactions and dispositions of the assets of the Company, (ii) provide reasonable assurance that transactions are recorded as necessary to permit the preparation of the Company’s consolidated financial statements in accordance with GAAP, (iii) that receipts and expenditures of the Company are being made only in accordance with management’s and the Company’s directors’ authorization, and (iv) provide reasonable assurance regarding prevention or timely detection of unauthorized acquisition, use or disposition of the Company’s assets that could have a material effect on its financial statements. The Company will maintain disclosure controls and procedures that comply with the requirements of the Exchange Act.

s. FINRA Rule 5110. Prior to the first sale of Placement Shares and at any other time reasonably requested by the Agent, the Company shall provide the Agent with written confirmation from the Company or Company counsel, in form and substance reasonably satisfactory to the Agent, that either (i) the Company qualifies as an “experienced issuer” under FINRA Rule 5110(j), or (ii) any FINRA filing, notice, review, no-objections process or other action required in connection with the ATM Program has been completed, cleared, waived or is not required. The Company shall promptly provide the Agent with all information reasonably requested by the Agent or its counsel to verify the Company’s FINRA Rule 5110 status, including information regarding the Company’s reporting history, non-affiliate market value, trading volume, prior public offerings, offering compensation, related arrangements, reimbursable expenses and any other item relevant to FINRA underwriting compensation analysis.

t. Depositary; Deposit Agreement. During the term of this Agreement, the Company will (i) maintain the Deposit Agreement in full force and effect and will not terminate the Deposit Agreement, or amend, modify or waive any provision thereof in any manner that would adversely affect the Placement Shares or the transactions contemplated hereby, without the prior written consent of the Agent (which consent shall not be unreasonably withheld, conditioned or delayed); (ii) maintain the registration of the Ordinary Shares represented by the ADSs under Section 12(b) of the Exchange Act; (iii) maintain one or more effective registration statements on Form F-6 relating to the ADSs and a sufficient number of ADSs registered and available for issuance thereunder to permit the issuance and delivery of the Placement Shares contemplated by any outstanding Placement Notice; (iv) maintain the applicable ATM reserve arrangement with the Depositary and timely deliver, and cause the transfer agent and other applicable parties to timely deliver, to the Depositary all instructions, confirmations, opinions and other documents or information required by the Depositary to permit the timely issuance, release, reissuance and/or delivery, as applicable, of the Placement Shares on each Settlement Date; (v) pay all fees, charges and expenses of the Depositary and its custodian payable by the Company under the Deposit Agreement in connection with the establishment and maintenance of the ATM reserve arrangement, the deposit of the Ordinary Shares and the issuance, release, reissuance and/or delivery, as applicable, of the Placement Shares, and the Agent shall have no responsibility for any such fees; (vi) promptly notify the Agent of any notice of resignation or removal of the Depositary and of any breach of or default under the Deposit Agreement; and (vii) not change the number of Ordinary Shares represented by each ADS without giving the Agent written notice thereof at least ten (10) Trading Days prior to the effectiveness of such change.

u. Social Media and Promotion Restrictions. The Company shall not engage in coordinated social media promotion campaigns, group-based trading inducement, issuer-sponsored investor groups, undisclosed third-party marketing efforts, paid touting, promotional newsletters, online chatroom campaigns, or other communications through social media or messaging platforms for the purpose of encouraging trading in the ADSs or the Ordinary Shares or facilitating sale under the ATM Program; provided that the Company shall not be prohibited or restricted from publishing, releasing or disseminating any press release, statement or report regarding its business, financial condition, results of operation, cash flows and prospects in the ordinary course of business. The Company shall promptly notify the Agent of any known promotional activity, third-party communications encouraging trading, rumor-based trading, influencer activity, online campaign, trading group activity or issuer-related social media activity relating to the ADSs, the Ordinary Shares or the ATM Program, whether or not initiated or authorized by the Company.

v. No Replacement ATM Program Prior to Effective Termination. Notwithstanding anything to the contrary in Section 7(h) or elsewhere in this Agreement, prior to the date on which any termination of this Agreement becomes effective in accordance with Section 13(f), the Company shall not, without the prior written consent of the Agent, file with the Commission any prospectus supplement, registration statement or amendment or supplement thereto that specifically establishes, or is filed for the purpose of establishing, an “at the market offering” (as defined in Rule 415(a)(4) under the Securities Act) of Ordinary Shares, ADSs or other equity securities of the Company through any sales agent, placement agent, manager or other person other than the Agent (any such program, a “Replacement ATM Program” and any such person, a “Replacement Agent”). For the avoidance of doubt, nothing in this Section 7(v) shall restrict the Company from filing any registration statement, prospectus or other document that does not specifically establish a Replacement ATM Program.

w. Reporting of Replacement Agent Sales. If, during the Tail Period (defined in Section 7(y) below), the Company sells any Ordinary Shares or ADSs through a Replacement Agent or otherwise in any transaction described in Section 7(y), the Company shall (i) notify the Agent in writing within two (2) Business Days after the Company first engages such Replacement Agent and (ii) deliver to the Agent, within three (3) Business Days after each settlement or closing of such sales, a written report (which may be by email) setting forth the number of Ordinary Shares or ADSs sold, the aggregate gross proceeds thereof and the settlement or closing date, together with a copy of the related settlement statement or such other supporting documentation as the Agent may reasonably request, in each case in sufficient detail to permit the Agent to calculate the amounts payable to it under Section 7(y). The Company’s obligations under this Section 7(w) shall survive the expiration or termination of this Agreement for the duration of the Tail Period.

x. [RESERVED].

y. Tail. If, within nine (9) months following the expiration or termination of this Agreement (the “Tail Period”), the Company sells any Ordinary Shares or ADSs in an at-the-market offering of the same class pursuant to the Registration Statement or any replacement or successor at-the-market facility for which Chaince provided services during the term of this Agreement, then the Company shall pay Chaince, upon each settlement or closing of such transaction, a cash fee equal to 3.0% of the gross proceeds thereof as provided in Schedule 2 and as if such sale had been effected through Chaince under this Agreement. In accordance with FINRA Rule 5110(g)(5)(B), no amounts shall be payable under this Section 7(y) following any termination by the Company for cause in compliance with FINRA Rule 5110(g)(5)(B)(i). The Company’s obligations under this Section 7(y) shall survive the expiration or termination of this Agreement during the Tail Period and shall not be superseded, terminated, modified or otherwise affected by the Company’s entry into any subsequent sales agreement, equity distribution agreement or similar arrangement with any Replacement Agent, unless the Agent expressly waives its rights under this Section 7(y) in writing.

z. Interim Financial Information; Information and Inspection Rights.

(i) For purposes of this Agreement, (A) “Interim Comfort Period” means the period commencing on the date of this Agreement and ending on the date on which the Interim Comfort Letter (as defined in Section 7(aa)) has been delivered to, and accepted in writing (which may be by email) by, the Agent; and (B) “Accounting Issue” means any of the following, as determined by the Agent in its good faith judgment: (1) any discrepancy or irregularity between the Interim Financial Statements (if and when included or incorporated by reference in the Registration Statement or the Prospectus) or other financial information in the Registration Statement or the Prospectus and the books, records, bank statements or supporting documentation of the Company or any Subsidiary, other than a de minimis discrepancy explained to the Agent’s reasonable satisfaction; (2) any actual or suspected fraud, misappropriation, undisclosed liability, related-party transaction or bank account, or other accounting irregularity; (3) any failure by the Company, any Subsidiary, the Accountant or any bank of the Company or any Subsidiary to provide any information, confirmation or access requested under this Section 7(z) when required; (4) any resignation or dismissal of, or disagreement with, the Accountant, any material audit or review adjustment, or any indication by the Accountant that it cannot deliver a Comfort Letter covering the Interim Financial Statements (other than the Disclosed Interim Comfort Limitation prior to the Interim Comfort Deadline); (5) any determination that financial statements of the Company should not be relied upon or should be restated, or any new material weakness or significant deficiency; or (6) any other matter that, in the Agent’s reasonable judgment, is material or calls into question the reliability of the Interim Financial Statements or the Company’s internal control over financial reporting.

(ii) During the term of this Agreement, and in particular during the Interim Comfort Period, the Company shall, and shall cause each Subsidiary to, furnish to the Agent and its counsel and advisors, within three (3) Business Days after any written request (which may be by email) (or such longer period as the Agent may agree in writing), such information, documents and records as the Agent may request in connection with the Interim Financial Statements (if and when included or incorporated by reference in the Registration Statement or the Prospectus), the other financial information in the Registration Statement and the Prospectus, and the Company’s books, records, internal control over financial reporting and disclosure controls, including general ledgers, trial balances and account reconciliations; bank statements, confirmations and a complete list of bank accounts; supporting documentation for material and related-party transactions; management accounts, board and audit committee materials and internal audit reports; and correspondence with, and reports and adjustment schedules from, the Accountant relating to the Interim Financial Statements.

(iii) The Company shall, upon the Agent’s request, authorize each bank or financial institution of the Company or any Subsidiary to deliver balance confirmations and account information directly to the Agent or its designee.

aa. Interim Comfort Letter.

(i) The Company shall cause the Accountant to deliver to the Agent, no later than 5:00 p.m., New York City time, on October 30, 2026 (as such date may be extended pursuant to Section 7(aa)(ii), the “Interim Comfort Deadline”), a Comfort Letter, dated the date of delivery and in form and substance reasonably satisfactory to the Agent (the “Interim Comfort Letter”). The Interim Comfort Letter shall constitute a Comfort Letter for all purposes of this Agreement.

(ii) If the Company reasonably determines that the Interim Comfort Letter cannot be delivered by October 30, 2026, the Company may, by written notice delivered to the Agent no later than October 28, 2026 setting forth in reasonable detail the reasons for the delay, the status of the Accountant’s procedures and the expected date of delivery, extend the Interim Comfort Deadline to 5:00 p.m., New York City time, on November 6, 2026; provided that no Accounting Issue has occurred and is continuing at the time of such notice.

(iii) During the Interim Comfort Period, (A) the Agent may, in its sole discretion, decline to accept any Placement Notice, or accept any Placement Notice subject to such limitations on the number or dollar amount of Placement Shares to be sold (whether per Trading Day or in the aggregate) as the Agent may specify, and (B) prior to or concurrently with the delivery of each Placement Notice, the Company shall deliver to the Agent a certificate of its Chief Financial Officer, in form and substance reasonably satisfactory to the Agent, with respect to the Interim Financial Statements (if and when included or incorporated by reference in the Registration Statement or the Prospectus) and such other financial information included or incorporated by reference in the Registration Statement and the Prospectus as the Agent may reasonably request, and certifying that no Accounting Issue has occurred.

(iv) If the Interim Comfort Letter has not been delivered to the Agent on or prior to the Interim Comfort Deadline, then, without limiting any other right or remedy of the Agent, (A) the Company shall not deliver any Placement Notice, and the Agent shall have no obligation to sell any Placement Shares, until the Interim Comfort Letter has been delivered, (B) any pending Placement Notice shall be deemed suspended, and (C) the Agent may terminate this Agreement pursuant to Section 13(a).

8. Representations and Covenants of the Agent.

(a) The Agent represents and warrants that it is duly registered as a broker-dealer under FINRA, the Exchange Act and the applicable statutes and regulations of each state in which the Placement Shares will be offered and sold, except such states in which such Agent is exempt from registration or such registration is not otherwise required. The Agent shall continue, for the term of this Agreement, to be duly registered as a broker-dealer under FINRA, the Exchange Act and the applicable statutes and regulations of each state in which the Placement Shares will be offered and sold, except such states in which it is exempt from registration or such registration is not otherwise required, during the term of this Agreement. The Agent shall comply with all applicable law and regulations in connection with the transactions contemplated by this Agreement, including the issuance and sale through such Agent of the Placement Shares.

(b) The Agent shall not execute privately negotiated transactions, block trades, agency crosses, principal transactions or other non-open-market transactions in lieu of open market sales unless (i) the Company has provided prior written consent, which may be by email, (ii) the Agent has determined, in its reasonable judgment, that such execution is permitted by this Agreement, the Registration Statement, the Prospectus, the Prospectus Supplement, Rule 415, Nasdaq rules, FINRA rules and applicable law, (iii) all required regulatory approvals and internal approvals have been obtained, and (iv) if principal capacity would be involved, the Agent has delivered a Principal Capacity Notice and the parties have agreed in writing to the relevant principal transaction terms. To the extent any alternative execution is permitted and mutually agreed, the Agent shall seek to obtain pricing terms comparable to or better than prevailing open market prices, taking into account liquidity, block size, market conditions, transaction structure, investor demand and regulatory requirements. Nothing in this Section 8(b) shall permit directed selling, Company-coordinated investors, undisclosed investor arrangements, stabilization, market manipulation, or any activity inconsistent with this Agreement, Regulation M, FINRA rules, Nasdaq rules or applicable securities laws.

(c) The Agent shall keep the Company reasonably informed of material changes in market conditions known to the Agent that may affect the execution of Placement Notices, to the extent the Agent is not prohibited from doing so by applicable law, regulation, regulatory instruction, confidentiality obligation or supervisory procedure.

(d) The Agent shall provide the Company with weekly summary reports and such other reports as may be reasonably requested by the Company from time to time, subject to applicable law, regulation, regulatory instruction, confidentiality obligations, clearing broker requirements and the Agent’s supervisory procedures.

(e) The Agent shall not exercise its discretionary rights hereunder in a manner that is arbitrary, capricious, or designed to frustrate the Company’s legitimate financing objectives, subject in all cases to the Agent’s regulatory obligations, supervisory procedures, market conditions, clearing requirements and risk-management obligations.

9. Payment of Expenses. The Company will pay all expenses incidental to the performance of its obligations under this Agreement, including (i) the preparation, filing, including any fees required by the Commission, and printing of the Registration Statement (including financial statements and exhibits) as originally filed and of each amendment and supplement thereto and each Free Writing Prospectus, in such number as the Agent shall deem reasonably necessary, (ii) the printing and delivery to the Agent of this Agreement and such other documents as may be required in connection with the offering, purchase, sale or issuance of the Placement Shares, (iii) the preparation, issuance and delivery of the certificates, if any, for the Placement Shares to the Agent, including any stock or other transfer taxes and any capital duties, stamp duties or other duties or taxes payable upon the sale or issuance of the Placement Shares to the Agent or the deposit of the underlying Ordinary Shares with the Depositary, (iv) the fees and disbursements of the counsel, accountants and other advisors to the Company, (v) the reasonable and documented out-of-pocket fees and disbursements of counsel to the Agent (A) not to exceed $75,000 in connection with the negotiation, execution and initial implementation of this Agreement and the transactions contemplated hereby, and (B) not to exceed $5,000 for each Representation Date with respect to which the Company is required to provide a certificate under Section 7(l), together with any related opinions, negative assurance letters, reliance letters, comfort letters or other deliverables required under Sections 7(m), 7(n) or 10, with such amount payable upon each such Representation Date and not in arrears; provided that amounts payable under clause (v)(B) are separate from, and not subject to, the cap set forth in clause (v)(A), (vi) the fees and expenses of the transfer agent and registrar for the Ordinary Shares and of the Depositary and its custodian in connection with the deposit of the Ordinary Shares and the issuance and delivery of the Placement Shares (including any issuance fees payable to the Depositary under the Deposit Agreement), (vii) the filing fees incident to any review by FINRA of the terms of the sale of the Placement Shares, (viii) the fees and expenses incurred in connection with the listing of the Placement Shares on the Exchange. The Company has paid to the Agent a non-refundable engagement fee of US$30,000 (the “Engagement Fee”) in consideration of due diligence and initial legal work undertaken by the Agent in connection with the offering. The Engagement Fee shall be credited against the Expense Allowance (as defined below) and, to the extent attributable to reasonable and documented fees and disbursements of counsel to the Agent, against the cap set forth in clause (v)(A) above. Notwithstanding the foregoing, to the extent any portion of the Engagement Fee is deemed an advance against the Agent’s accountable out-of-pocket expenses, any such portion not actually incurred by the Agent shall be reimbursed to the Company to the extent required by FINRA Rule 5110(g)(4)(A). Such fees and disbursements shall be invoiced by the Agent to the Company (accompanied by reasonable supporting documentation from such counsel), and the Company shall pay such amounts to the Agent within thirty (30) days of receipt of each invoice. The fees and disbursements of counsel to the Agent payable under clause (v) above shall be paid out of, and credited against, the Expense Allowance to the extent thereof, and the Company shall pay by invoice only such fees and disbursements as exceed the Expense Allowance actually received by the Agent, subject to the applicable caps set forth in clause (v) above , as applicable. In addition, the Company shall reimburse the Agent for clearing fees and incidental expenses incurred in connection with each settlement of sales of Placement Shares pursuant to this Agreement (the “Clearing Fee Reimbursement”). The Clearing Fee Reimbursement shall be reflected on the applicable settlement statement and paid by the Company by invoice or through the executing/clearing broker’s standard commission billing process. In the event that an offering and sale of the Placement Shares pursuant to this Agreement shall not be carried out for any reason whatsoever, the Company shall remain obligated to pay the actual, documented and reasonable out-of-pocket expenses incurred by the Agent in connection with the offering through the date of termination or discontinuation of the offering, including the reasonable and documented fees and disbursements of counsel to the Agent and, if applicable, electronic road show expenses, up to an aggregate cap of US$50,000; provided that such $50,000 cap shall be inclusive of, and not in addition to, any amounts paid or payable pursuant to clause (v)(A) above, including the Engagement Fee. Expense Allowance means, with respect to each Closing, an expense allowance equal to 1.0% of the aggregate gross proceeds raised at such Closing, payable out of the proceeds of such Closing, for the fees and expenses of legal counsel to the Agent and other out-of-pocket expenses incurred by the Agent in connection with the offering, including, if applicable, the costs associated with the use of a third-party electronic road show service (such as Net Roadshow). The Engagement Fee paid pursuant to Section 9 shall be credited against the Expense Allowance, and the fees and disbursements of counsel to the Agent shall be paid out of, and credited against, the Expense Allowance as provided in Section 9.

10. Conditions to the Agent’s Obligations. The obligations of the Agent hereunder with respect to a Placement will be subject to the continuing accuracy and completeness of the representations and warranties made by the Company herein (other than those representations and warranties made as of a specified date or time), to the due performance in all material respects by the Company of its obligations hereunder, to the completion by the Agent of a due diligence review satisfactory to it in its reasonable judgment, and to the continuing reasonable satisfaction (or waiver by the Agent in its sole discretion) of the following additional conditions:

a. Registration Statement Effective; Form F-6; Depositary. The Registration Statement shall be effective and shall be available for the sale of all Placement Shares contemplated to be issued by any Placement Notice. The registration statement(s) on Form F-6 relating to the ADSs shall be effective and a sufficient number of ADSs shall be registered and available for issuance thereunder to permit the issuance and delivery of all Placement Shares contemplated by the applicable Placement Notice. The Deposit Agreement shall remain in full force and effect, and the applicable ATM reserve arrangement with the Depositary shall be in place and available to permit the timely issuance, release, reissuance and/or delivery, as applicable, of the Placement Shares on the applicable Settlement Date.

b. No Material Notices. None of the following events shall have occurred and be continuing: (i) receipt by the Company of any request for additional information from the Commission or any other federal or state governmental authority during the period of effectiveness of the Registration Statement, the response to which would require any post-effective amendments or supplements to the Registration Statement or the Prospectus; (ii) the issuance by the Commission or any other federal or state governmental authority of any stop order suspending the effectiveness of the Registration Statement or receipt by the Company of notification of the initiation of any proceedings for that purpose; (iii) receipt by the Company of any notification with respect to the suspension of the qualification or exemption from qualification of any of the Placement Shares for sale in any jurisdiction or receipt by the Company of notification of the initiation of, or a threat to initiate, any proceeding for such purpose; or (iv) the occurrence of any event that makes any material statement made in the Registration Statement or the Prospectus or any material Incorporated Document untrue in any material respect or that requires the making of any changes in the Registration Statement, the Prospectus or any material Incorporated Document so that, in the case of the Registration Statement, it will not contain any materially untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary to make the statements therein not misleading and, that in the case of the Prospectus or any material Incorporated Document, it will not contain any materially untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary to make the statements therein, in the light of the circumstances under which they were made, not misleading.

c. No Misstatement or Material Omission. The Agent shall not have advised the Company that the Registration Statement or Prospectus, or any amendment or supplement thereto, contains an untrue statement of fact that in the Agent’s reasonable opinion is material, or omits to state a fact that in the Agent’s reasonable opinion is material and is required to be stated therein or is necessary to make the statements therein not misleading.

d. Material Changes. Except as contemplated in the Prospectus, or disclosed in the Company’s reports filed with the Commission, there shall not have been any Material Adverse Effect, or any development that would cause a Material Adverse Effect, or a downgrading in or withdrawal of the rating assigned to any of the Company’s securities (other than asset backed securities) by any “nationally recognized statistical rating organization,” as such term is defined by the Commission for purposes of Rule 436(g)(2) under the Securities Act (a “Rating Organization”), or a public announcement by any Rating Organization that it has under surveillance or review its rating of any of the Company’s securities (other than asset backed securities), the effect of which, in the case of any such action by a Rating Organization described above, in the reasonable judgment of the Agent (without relieving the Company of any obligation or liability it may otherwise have), is so material as to make it impracticable or inadvisable to proceed with the offering of the Placement Shares on the terms and in the manner contemplated in the Prospectus.

e. Legal Opinion. The Agent shall have received the opinions, negative assurance letters and other legal deliverables required to be delivered pursuant to Section 7(m) on or before the date on which such delivery of such opinion and negative assurance letter are required pursuant to Section 7(m).

f. Comfort Letter. The Agent shall have received the Comfort Letter required to be delivered pursuant Section 7(n) on or before the date on which such delivery of such letter is required pursuant to Section 7(n).

g. Representation Certificate. The Agent shall have received the certificate required to be delivered pursuant to Section 7(l) on or before the date on which delivery of such certificate is required pursuant to Section 7(l).

h. Officer’s Certificate. On or prior to the first Representation Date, the Agent shall have received a certificate, signed on behalf of the Company by an officer of the Company, in form and substance reasonably satisfactory to the Agent and its counsel.

i. No Suspension. Trading in the ADSs shall not have been suspended on the Exchange and the ADSs shall not have been delisted from the Exchange.

j. Other Materials. On each date on which the Company is required to deliver a certificate pursuant to Section 7(l), the Company shall have furnished to the Agent such appropriate further information, certificates and documents as the Agent may reasonably request and which are usually and customarily furnished by an issuer of securities in connection with a securities offering of the type contemplated hereby. All such opinions, certificates, letters and other documents will be in compliance with the provisions hereof.

k. Securities Act Filings Made. All filings with the Commission required by Rule 424 under the Securities Act to have been filed prior to the issuance of any Placement Notice hereunder shall have been made within the applicable time period prescribed for such filing by Rule 424.

l. Approval for Listing. The Placement Shares shall either have been approved for listing on the Exchange, subject only to notice of issuance, or the Company shall have filed an application for listing of the Placement Shares on the Exchange at, or prior to, the issuance of any Placement Notice.

m. No Termination Event. There shall not have occurred any event that would permit the Agent to terminate this Agreement pursuant to Section 13(a).

n. Interim Comfort Letter. From and after the Interim Comfort Deadline, the Agent shall have received the Interim Comfort Letter.

11. Indemnification and Contribution.

(a) Company Indemnification. The Company agrees to indemnify and hold harmless the Agent, its partners, members, directors, officers, employees and agents and each person, if any, who controls the Agent within the meaning of Section 15 of the Securities Act or Section 20 of the Exchange Act against any and all losses, claims, damages or liabilities, joint or several, to which they or any of them may become subject under the Act, the Exchange Act or other Federal or state statutory law or regulation, at common law or otherwise, insofar as such losses, claims, damages or liabilities (or actions in respect thereof) arise out of or are based upon any untrue statement or alleged untrue statement of a material fact contained in the Registration Statement for the registration of the Placement Shares as originally filed or in any amendment thereof, or in the Base Prospectus, any Prospectus Supplement, the Prospectus, any Issuer Free Writing Prospectus, or in any amendment thereof or supplement thereto, or arise out of or are based upon the omission or alleged omission to state therein a material fact required to be stated therein or necessary to make the statements therein not misleading or arise out of or are based upon any Proceeding, commenced or threatened (whether or not the Agent is a target of or party to such Proceeding) or result from or relate to any breach of any of the representations, warranties, covenants or agreements made by the Company in this Agreement, or arise out of or are based upon (A) any inaccuracy in, or omission from, the Interim Financial Statements or any books, records, general ledgers, reconciliations, bank records or other information, documents or records furnished by or on behalf of the Company to the Agent or its counsel or advisors pursuant to Section 7(z) or otherwise in connection with the Agent’s due diligence review, (B) any Accounting Issue or (C) any failure of the Company to deliver, or to cause the Accountant to deliver, the Interim Comfort Letter on or prior to the Interim Comfort Deadline, and agrees to reimburse each such indemnified party for any legal or other expenses reasonably incurred by them in connection with investigating or defending any such loss, claim, damage, liability or action; provided, however, that the Company will not be liable in any such case to the extent that any such loss, claim, damage or liability arises out of or is based upon any such untrue statement or alleged untrue statement or omission or alleged omission made therein in reliance upon and in conformity with written information furnished to the Company by the Agent specifically for inclusion therein. This indemnity agreement will be in addition to any liability that the Company may otherwise have.

(b) Indemnification by the Agent. The Agent agrees to indemnify and hold harmless the Company, each of its directors, each of its officers who signs the Registration Statement, and each person who controls the Company within the meaning of either the Act or the Exchange Act, to the same extent as the foregoing indemnity from the Company to the Agent, but only with reference to written information relating to the Agent furnished to the Company by the Agent specifically for inclusion in the documents referred to in the foregoing indemnity; provided, however, that in no case shall the Agent be responsible for any amount in excess of the commissions received by the Agent under this Agreement and paid hereunder. This indemnity agreement will be in addition to any liability which the Agent may otherwise have.

(c) Procedure. Promptly after receipt by an indemnified party under this Section 11 of notice of the commencement of any action, such indemnified party will, if a claim in respect thereof is to be made against the indemnifying party under this Section 11, notify the indemnifying party in writing of the commencement thereof; but the failure so to notify the indemnifying party (i) will not relieve it from liability under paragraph (a) or (b) above unless and to the extent it did not otherwise learn of such action and such failure results in the forfeiture by the indemnifying party of substantial rights and defenses and (ii) will not, in any event, relieve the indemnifying party from any obligations to any indemnified party other than the indemnification obligation provided in paragraph (a) or (b) above. The indemnifying party shall be entitled to appoint counsel of the indemnifying party’s choice at the indemnifying party’s expense to represent the indemnified party in any action for which indemnification is sought (in which case the indemnifying party shall not thereafter be responsible for the fees and expenses of any separate counsel retained by the indemnified party or parties except as set forth below); provided, however, that such counsel shall be reasonably satisfactory to the indemnified party. Notwithstanding the indemnifying party’s election to appoint counsel to represent the indemnified party in an action, the indemnified party shall have the right to employ separate counsel (including local counsel), and the indemnifying party shall bear the reasonable fees, costs and expenses of such separate counsel if (i) the use of counsel chosen by the indemnifying party to represent the indemnified party would present such counsel with a conflict of interest, (ii) the actual or potential defendants in, or targets of, any such action include both the indemnified party and the indemnifying party and the indemnified party shall have reasonably concluded that there may be legal defenses available to it and/or other indemnified parties which are different from or additional to those available to the indemnifying party, (iii) the indemnifying party shall not have employed counsel reasonably satisfactory to the indemnified party to represent the indemnified party within a reasonable time after notice of the institution of such action or (iv) the indemnifying party shall authorize the indemnified party to employ separate counsel at the expense of the indemnifying party. An indemnifying party will not, without the prior written consent of the indemnified parties, settle or compromise or consent to the entry of any judgment with respect to any pending or threatened claim, action, suit or proceeding in respect of which indemnification or contribution may be sought hereunder (whether or not the indemnified parties are actual or potential parties to such claim or action) unless such settlement, compromise or consent (i) includes an unconditional release of each indemnified party from all liability arising out of such claim, action, suit or proceeding and (ii) does not include any statement as to or admission of fault, culpability or failure to act by or on behalf of any indemnified party.

(d) Contribution. In the event that the indemnity provided in paragraphs (a), (b) or (c) of this Section 11 is unavailable to or insufficient to hold harmless an indemnified party for any reason, the Company and the Agent agree to contribute to the aggregate losses, claims, damages, liabilities and expenses (including legal or other expenses reasonably incurred in connection with investigating or defending the same) (collectively, “Losses”) to which the Company and the Agent may be subject in such proportion as is appropriate to reflect the relative benefits received by the Company on the one hand and by the Agent on the other from the offering of the Placement Shares; provided, however, that in no case shall the Agent be required to contribute any amount in excess of the commissions received by the Agent under this Agreement and paid hereunder.

If the allocation provided by the immediately preceding sentence is unavailable for any reason, the Company and the Agent severally shall contribute in such proportion as is appropriate to reflect not only such relative benefits but also the relative fault of the Company on the one hand and of the Agent on the other in connection with the matters that resulted in such Losses, as well as any other relevant equitable considerations. Benefits received by the Company shall be deemed to be equal to the total Net Proceeds from the offering of the Placement Shares (before deducting expenses) received by it, and benefits received by the Agent shall be deemed to be equal to the commissions received by the Agent under this Agreement and paid hereunder.

Relative fault shall be determined by reference to, among other things, the nature of the conduct giving rise to such Losses, including, where applicable, whether any untrue or alleged untrue statement of a material fact or omission or alleged omission to state a material fact relates to information provided by the Company on the one hand or the Agent on the other (it being agreed that the Interim Financial Statements and all information, documents and records furnished by or on behalf of the Company pursuant to Section 7(z) shall be deemed to be information provided by the Company), the intent of the parties and their relative knowledge, access to information and opportunity to correct or prevent the circumstances giving rise to such Losses. The Company and the Agent agree that it would not be just and equitable if contribution were determined by pro rata allocation or any other method of allocation that does not take account of the equitable considerations referred to above.

Notwithstanding the provisions of this paragraph (d), no person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any person who was not guilty of such fraudulent misrepresentation. For purposes of this Section 11, each person who controls the Agent within the meaning of either the Securities Act or the Exchange Act and each partner, director, officer, employee and agent of the Agent shall have the same rights to contribution as the Agent, and each person who controls the Company within the meaning of either the Securities Act or the Exchange Act, each officer of the Company who shall have signed the Registration Statement and each director of the Company shall have the same rights to contribution as the Company, subject in each case to the applicable terms and conditions of this paragraph (d).

(e) Non-Waiver Upon Receipt of Diligence. The Agent’s receipt of certificates, opinions, comfort letters or other diligence materials, the Agent’s review of any information furnished pursuant to Section 7(z), or the Agent’s acceptance of any Placement Notice or sale of any Placement Shares prior to the delivery of the Interim Comfort Letter, shall not limit the Company’s indemnification obligations or waive any right of the Agent under this Section 11.

(f) Engagement Letter Indemnification. Notwithstanding anything to the contrary in this Agreement, the indemnification, reimbursement and contribution rights of the Agent and the other Indemnified Persons under the Engagement Letter shall remain in full force and effect and shall be in addition to, and not in limitation of, the rights provided under this Section 11.

12. Representations and Agreements to Survive Delivery. The indemnity and contribution agreements contained in Section 11 of this Agreement and all representations and warranties of the Company herein or in certificates delivered pursuant hereto shall survive, regardless of (i) any investigation made by or on behalf of the Agent, any controlling persons, or the Company (or any of their respective officers, directors or controlling persons), (ii) acceptance of the Placement Shares and payment therefor or (iii) any termination of this Agreement.

13. Termination.

a. This Agreement shall remain in full force and effect until terminated in accordance with this Section 13. The Agent may terminate this Agreement, by written notice to the Company, as hereinafter specified at any time (1) if there has been, since the time of execution of this Agreement or since the date as of which information is given in the Prospectus, any Material Adverse Effect, or any development that would have a Material Adverse Effect that, in the reasonable judgment of such Agent, is material and adverse and makes it impractical or inadvisable to market the Placement Shares or to enforce contracts for the sale of the Placement Shares, (2) if there has occurred any material adverse change in the financial markets in the United States or the international financial markets, any outbreak of hostilities or escalation thereof or other calamity or crisis or any change or development involving a prospective change in national or international political, financial or economic conditions, in each case the effect of which is such as to make it, in the judgment of such Agent, impracticable or inadvisable to market the Placement Shares or to enforce contracts for the sale of the Placement Shares, (3) if trading in the ADSs has been suspended or limited by the Commission or the Exchange, or if trading generally on the Exchange has been suspended or limited, or minimum prices for trading have been fixed on the Exchange, (4) if any suspension of trading of any securities of the Company on any exchange or in the over-the-counter market shall have occurred and be continuing, (5) if a major disruption of securities settlements or clearance services in the United States shall have occurred and be continuing, (6) if a banking moratorium has been declared by either U.S. Federal or New York authorities, (7) if an Accounting Issue has occurred, whether or not the Agent has suspended sales pursuant to Section 4(f), or (8) if the Interim Comfort Letter has not been delivered on or prior to the Interim Comfort Deadline. For the avoidance of doubt, any termination pursuant to clause (7) or (8) above shall not constitute a termination by the Company for cause for purposes of Section 7(y). Any such termination shall be without liability of any party to any other party except that the provisions of Section 7(w) (Reporting of Replacement Agent Sales), Section 7(y) (Tail), Section 9 (Payment of Expenses), Section 11 (Indemnification and Contribution), Section 12 (Representations and Agreements to Survive Delivery), Section 18 (Governing Law and Time; Waiver of Jury Trial) and Section 19 (Consent to Jurisdiction) hereof shall remain in full force and effect notwithstanding such termination, in each case subject to the terms and limitations expressly set forth therein. If the Agent elects to terminate this Agreement as provided in this Section 13(a), such Agent shall provide the required written notice as specified in Section 14 (Notices).

b. The Company shall have the right, by giving fifteen (15) days’ notice as hereinafter specified to terminate this Agreement with respect to the Agent in its sole discretion at any time after the date of this Agreement. Any such termination shall be without liability of any party to any other party except that the provisions of Section 7(w) (Reporting of Replacement Agent Sales), Section 7(y) (Tail), Section 9 (Payment of Expenses), Section 11 (Indemnification and Contribution), Section 12 (Representations and Agreements to Survive Delivery), Section 18 (Governing Law and Time; Waiver of Jury Trial) and Section 19 (Consent to Jurisdiction) hereof shall remain in full force and effect notwithstanding such termination, in each case subject to the terms and limitations expressly set forth therein.

c. The Agent shall have the right, by giving fifteen (15) days’ notice as hereinafter specified to terminate this Agreement in its sole discretion at any time after the date of this Agreement. Any such termination shall be without liability of any party to any other party except that the provisions of Sections 7(w) (Reporting of Replacement Agent Sales), Section 7(y) (Tail), Section 9 (Payment of Expenses), Section 11 (Indemnification and Contribution), Section 12 (Representations and Agreements to Survive Delivery), Section 18 (Governing Law and Time; Waiver of Jury Trial) and Section 19 (Consent to Jurisdiction) hereof shall remain in full force and effect notwithstanding such termination, in each case subject to the terms and limitations expressly set forth therein.

d. The issuance and sale of Placement Shares from time to time shall not, by itself, result in an automatic termination of this Agreement.

e. This Agreement shall remain in full force and effect unless terminated pursuant to Sections 13(a), (b) or (c) above or otherwise by mutual agreement of the parties; provided, however, that any such termination by mutual agreement shall in all cases be deemed to provide that Sections 7(w) (Reporting of Replacement Agent Sales), Section 7(y) (Tail), Section 9 (Payment of Expenses), Section 11 (Indemnification and Contribution), Section 12 (Representations and Agreements to Survive Delivery), Section 18 (Governing Law and Time; Waiver of Jury Trial) and Section 19 (Consent to Jurisdiction) shall remain in full force and effect. Upon termination of this Agreement, the Company shall not have any liability to the Agent for any discount, commission or other compensation with respect to any Placement Shares not otherwise sold by the Agent under this Agreement, except for any amounts payable pursuant to Section 7(y).

f. Any termination of this Agreement shall be effective on the date specified in such notice of termination; provided, however, that such termination shall not be effective until the close of business on the date of receipt of such notice by the Agent or the Company, as the case may be. If such termination shall occur prior to the Settlement Date for any sale of Placement Shares, such Placement Shares shall settle in accordance with the provisions of this Agreement. No termination or expiration of this Agreement shall affect any fees earned by the Agent, or any expenses incurred by the Agent and reimbursable by the Company hereunder, prior to the effective date of such termination or expiration.

Neither the Company nor the Agent may assign its rights or obligations under this Agreement without the prior written consent of the other party.

16. Adjustments for Share Splits. The parties acknowledge and agree that all share-related numbers contained in this Agreement shall be adjusted to take into account any share consolidation, share split, dividend, corporate domestication or similar event effected with respect to the Placement Shares.

17. Entire Agreement; Amendment; Severability. This Agreement (including all schedules and exhibits attached hereto and Placement Notices issued pursuant hereto) together with the engagement letter dated August 21, 2026 between the Company and the Agent (the “Engagement Letter”), constitutes the entire agreement and supersedes all other prior and contemporaneous agreements and undertakings, both written and oral, among the parties hereto with regard to the subject matter hereof; provided that, to the extent of any conflict between this Agreement and the Engagement Letter, this Agreement shall control solely with respect to the subject matter expressly addressed herein. Neither this Agreement nor any term hereof may be amended except pursuant to a written instrument executed by the Company and the Agent. In the event that any one or more of the provisions contained herein, or the application thereof in any circumstance, is held invalid, illegal or unenforceable as written by a court of competent jurisdiction, then such provision shall be given full force and effect to the fullest possible extent that it is valid, legal and enforceable, and the remainder of the terms and provisions herein shall be construed as if such invalid, illegal or unenforceable term or provision was not contained herein, but only to the extent that giving effect to such provision and the remainder of the terms and provisions hereof shall be in accordance with the intent of the parties as reflected in this Agreement.

18. GOVERNING LAW AND TIME; WAIVER OF JURY TRIAL. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO THE PRINCIPLES OF CONFLICTS OF LAWS. Delivery of an executed Agreement by one party to the other may be made by facsimile transmission or email of a .pdf attachment.

21. Effect of Headings. The section, Schedule and Exhibit headings herein are for convenience only and shall not affect the construction hereof.

22. Permitted Free Writing Prospectuses. The Company represents, warrants and agrees that, unless it obtains the prior consent of the Agent, and the Agent represents, warrants and agrees that, unless it obtains the prior consent of the Company, it has not made and will not make any offer relating to the Placement Shares that would constitute an Issuer Free Writing Prospectus, or that would otherwise constitute a “free writing prospectus,” as defined in Rule 405, required to be filed with the Commission. Any such free writing prospectus consented to by the Agent or by the Company, as the case may be, is hereinafter referred to as a “Permitted Free Writing Prospectus.” The Company represents and warrants that it has treated and agrees that it will treat each Permitted Free Writing Prospectus as an “issuer free writing prospectus,” as defined in Rule 433, and has complied and will comply with the requirements of Rule 433 applicable to any Permitted Free Writing Prospectus, including timely filing with the Commission where required, legending and record keeping. For the purposes of clarity, the parties hereto agree that all free writing prospectuses, if any, listed in Exhibit 23 hereto are Permitted Free Writing Prospectuses.

23. Agent’s Role; Absence of Fiduciary Relationship. The Company acknowledges and agrees that:

a. the Agent is acting solely as agent in connection with the public offering of the Placement Shares and in connection with each transaction contemplated by this Agreement and the process leading to such transactions, and no fiduciary or advisory relationship between the Company or any of its respective affiliates, shareholders (or other equity holders), creditors or employees or any other party, on the one hand, and the Agent, on the other hand, has been or will be created in respect of any of the transactions contemplated by this Agreement, irrespective of whether or not any Agent has advised or is advising the Company on other matters, and the Agent has no obligation to the Company with respect to the transactions contemplated by this Agreement except the obligations expressly set forth in this Agreement;

b. it is capable of evaluating and understanding, and understands and accepts, the terms, risks and conditions of the transactions contemplated by this Agreement;

c. the Agent has not provided any legal, accounting, regulatory or tax advice with respect to the transactions contemplated by this Agreement and it has consulted its own legal, accounting, regulatory and tax advisors to the extent it has deemed appropriate;

d. it is aware that the Agent and its affiliates are engaged in a broad range of transactions which may involve interests that differ from those of the Company and such Agent has no obligation to disclose such interests and transactions to the Company by virtue of any fiduciary, advisory or agency relationship or otherwise; and

e. it waives, to the fullest extent permitted by law, any claims it may have against the Agent for breach of fiduciary duty or alleged breach of fiduciary duty in connection with the sale of Placement Shares under this Agreement and agrees that the Agent shall not have any liability (whether direct or indirect, in contract, tort or otherwise) to it in respect of such a fiduciary duty claim or to any person asserting a fiduciary duty claim on its behalf or in right of it or the Company, employees or creditors of Company, other than in respect of the Agent’s obligations under this Agreement and to keep information provided by the Company to the Agent and its counsel confidential to the extent not otherwise publicly-available; and

f. the Agent is not responsible for market behavior, investor activity, issuer disclosure, Company investor relations activity, third-party promotions, public float calculations, Form F-3 capacity, PRC or CSRC compliance, Nasdaq compliance, or any Company, transfer-agent or Depositary failure to deliver Placement Shares. The Agent may monitor trading conditions, news, public filings, social media, regulatory developments, settlement status and other risk indicators, and may adjust execution accordingly. The Agent is acting solely as an execution agent, not a market participant or stabilizing entity.
