WesincerelyappreciateyourcontributionstoHarmonyBiosciences,andweconsideryour ongoingeffortstobecriticaltoourfuturesuccess.Werecognizetheadditionalworkload andresponsibilitiesthatyouhavetakenoninrecentmonthsandwewanttoacknowledge yourcontributionsthroughthisretentionbonusaward.
Thetotalretentionbonusamountis$150,000,whichwillbepaidintwoinstallmentsas follows:
●First** **installment:$100,000tobepaidonOctober15,2026
●Second** installment: **$50,000tobepaidonApril15,2027
Thisretentionbonusisconsideredsupplementalcompensationandwillbesubjecttoall applicabletaxwithholdingsanddeductions.
YouandtheCompanyacknowledgeandagreethattheRetentionBonuswillnotbeearned unlessanduntilyouarecontinuouslyandactivelyemployedwiththeCompanythroughthe one-yearanniversaryofthedatehereof.Ifyouremploymentisterminatedpriortotheone- yearanniversaryofthedatehereofbytheCompanyforCauseorbyyouortheCompanyfor anyreason,thenyouwillnotbeentitledtoretaintheRetentionBonus(orportionthereof) andyouwillbeobligatedtorepaytotheCompany,onyourterminationdate,theRetention Bonusinfullonapre-taxbasis.
Notwithstandingtheforegoing,intheeventyouremploymentisterminatedbytheCompany withoutCause(asdefinedonExhibit* *Ahereto),youwillbeentitledtoretaintheRetention Bonus, subject to your timely execution, delivery and non-revocation (if applicable) of a generalreleaseofclaimsinaformprescribedbytheCompany.
Weaskthatyoukeepthisletterandyourretentionbonusconfidential.However,nothing hereinshallprohibityoufromdisclosinganyinformationtoyourspouseoryourfinancialor taxadvisorsortotheextentthatsuchaprohibitionviolatestheNationalLaborRelationsAct orotherapplicablelaw.

ForpurposesofthisAgreement,“Cause”means“Cause”asdefinedinanyemploymentorconsultingagreement orsimilarservicesagreementbetweenyouandtheCompanyasineffectatthetimeor,intheabsenceofanysuch employment, consulting, or similar services agreement (or the absence of any definition of “Cause” contained therein),“Cause”meansoneormoreofthefollowing:
| (a) | yourmaterialbreachofyourobligationsunderthisAgreementoranyotheragreementorarrangement enteredintowiththeCompanyoritsaffiliates(whichremainsuncured(totheextenttheCompany reasonablydeterminescurable)foratleastten(10)businessdaysfollowingnoticeofsuchbreach); |
| (b) | yourgrossnegligenceorwillfulmisconductintheperformanceofornon-performanceofyourdutiestothe Companyoritsaffiliates; |

| (e) | yourcommissionofanactinvolvingdeceit,fraud,perjuryorembezzlementinvolvingtheCompanyorits affiliatesoranyclient,customer,supplierorbusinessrelationshipoftheCompanyoranyaffiliatethereof; |
| (f) | yourrepeatedlybeingundertheinfluenceofdrugsoralcohol(otherthanover-the-counterorprescription medicineorothermedicallyrelateddrugstotheextenttheyaretakeninaccordancewiththeirdirections orunderthesupervisionofaphysician)whichinhibitstheperformanceofyourdutiestotheCompanyor its affiliates, or, while under the influence of such drugs or alcohol, engaging in inappropriate conduct duringtheperformanceofyourdutiestotheCompanyoritsaffiliates;or |

Anyrightstocurethatareexpresslydescribedinthisdefinitionwillonlybeaffordedfortheinitialoccurrenceof anypurportedgroundsofCauseandyouwillnothaveanyright(unlessotherwiseprovidedhereinorunlessthe Companyotherwisedetermines)tocuresuchpurportedgrounds.
