B. Amendments. The Notes are hereby amended and modified as follows.
| 1. | The definition of “Maturity Date” as set forth in the second introductory paragraph of the Notes is hereby amended and restated in its entirety to read as follows: |

2. Section 2 of the Notes is hereby amended by adding the following new Section 2(d) immediately following Section 2(c) thereof:
“d) Weekly Extension Fee. From and after the date hereof until paid in full, the Existing Accrued Interest shall bear interest at the Extended Rate (as defined in the Second Amendment), calculated on the basis of a 360-day year consisting of twelve 30-calendar day periods, and all interest so accruing on the Existing Accrued Interest shall constitute Deferred Interest. Holders hereby agree that (a) the failure of the Company to pay any Deferred Interest on any date prior to the Maturity Date (as amended hereby) shall not constitute an Event of Default (or any event that with the passage of time or the giving of notice or both would become an Event of Default) under Section 6(a)(i) of the Notes or otherwise, and (b) no Late Fees shall accrue on any Deferred Interest prior to the Maturity Date (as amended hereby).
2. No extension fee, premium or other consideration shall be payable by the Company upon the execution and delivery of this Third Amendment or in consideration of the extension of the Maturity Date provided for herein, other than the Weekly Extension Fees as and when payable in accordance with Section 2(d) of the Notes (as amended hereby) and the reimbursement of expenses set forth in Section D.3 hereof.
