If, in the absence of a protective order or the receipt of a waiver hereunder, Seller or any of its respective Affiliates or representatives is compelled to disclose any Confidential Information to any tribunal, it may disclose the Confidential Information to the tribunal; provided that it shall use its commercially reasonable efforts to obtain, at the request and sole expense of the Buyer, an order or other assurance that confidential treatment shall be accorded to such portion of the Confidential Information required to be disclosed as the Buyer, shall designate. (d) Seller agrees and stipulates that the agreements and covenants not to compete contained in Section 7.04 hereof are fair and reasonable in light of all of the facts and circumstances of the relationship between Seller and Buyer, including but not limited to the substantial consideration paid by Buyer for the Business and the Assets; however, Seller is aware that in certain circumstances courts have refused to enforce as written certain provisions or terms of agreements not to compete. Therefore, in furtherance of, and not in derogation of the provisions of Section 7.04, Seller and Buyer agree that, in the event a court should decline to enforce any of the provisions of Section 7.04, such Section 7.04 shall be deemed to be modified or reformed to restrict the competition of the Seller with Buyer to the maximum extent, as to time, geography and business scope, which the court shall find enforceable; provided, however, in no event shall the provisions of Section 7.04 be deemed to be more restrictive to any of the Seller than those contained herein.

All of the non-Fundamental Representations shall survive the Closing for a period of twelve (12) months. All covenants that by their nature are to be performed following the Closing Date shall survive until fully performed. Any representation, warranty, covenant or indemnity that would otherwise terminate in accordance with this Section 9.01 shall survive and continue in full force and effect if a notice shall have been timely given under this Article IX on or prior to such termination date, until the related claim for indemnification has been satisfied or otherwise resolved as provided in this Article IX. Nothing herein shall limit any Party’s rights as to claims for Fraud.
Section 9.02 Indemnification by the Seller. Subject to the other provisions and limitations in this Article IX, after the Closing, the Seller shall indemnify and hold harmless Buyer, and each of its Affiliates, managers, members, partners, employees, agents, attorneys and representatives, and any Person claiming by or through any of them (each, a “Buyer Indemnified Party”), against and in respect of any and all claims, costs, expenses, Taxes, damages, liabilities and losses (including attorneys’ fees and other costs and expenses incident to any suit, action or proceeding or incurred in connection with the enforcement of rights hereunder) (“Damages”), arising out of, resulting from or incurred in connection with: (a) any inaccuracy in any Fundamental Representations in this Agreement, (b) any inaccuracy in any other representation or warranty, other than Fundamental Representations, of the Seller in this Agreement or in any certificate delivered pursuant hereto(in the case of each of subsection (a) and (b), the existence of such inaccuracy or breach, together with the Damages related thereto, to be determined without regard to any qualifications therein referencing the terms “materiality,” “Material Adverse Effect” or other terms of similar import or effect), (c) the breach by the Seller of any covenant or agreement to be performed by it hereunder, or by Seller at any time of any covenant or agreement to be performed by it hereunder, (d) relating to the operation of Seller and the Business prior to the Closing Date, (e) Seller’s violation of any Environmental Laws, or (f) any audit by the Texas Comptroller of Seller for acts, omissions, or conduct prior to Closing, (g) any physical injuries or deaths of employees or independent contractors of Seller or its Affiliates that occurred prior to the Closing Date, or (h) any Retained Liability.

(a) Seller shall not be liable to the Buyer Indemnified Parties for indemnification under Section 9.01 until the aggregate amount of all Losses in respect of indemnification under Section 9.01 exceeds $20,000 (the “Basket”), in which event the Seller Indemnified Parties shall only be required to pay or be liable for such Losses from the first dollar. The aggregate amount of all Losses arising from breaches of the Fundamental Representations or for fraud for which the Sellers shall be liable pursuant to Section 9.01 shall not exceed the Purchase Price (the “Fundamental Cap”). The aggregate amount of all Losses arising from breaches of any representations other than the Fundamental Representations for which the Sellers shall be liable pursuant to Section 9.01 shall not exceed $500,000.00 (the “Representation Cap”).
(b) Buyer shall not be liable to the Seller Indemnified Parties for indemnification under Section 9.023 until the aggregate amount of all Losses in respect of indemnification under Section 9.023 exceeds the Basket, in which event Buyer shall be required to pay or be liable for all such Losses from the first dollar. Section 9.05 Notices and Opportunity to Defend. Promptly after receipt by any Person entitled to indemnification under this Article IX (the “Indemnitee”) of notice of any demand, assertion or other circumstance that could give rise to a claim or the commencement (or threatened commencement) of any action, proceeding or investigation (each, an “Asserted Liability”) that may result in Losses, the Indemnitee will give notice thereof (the “Claims Notice”) to the party obligated to provide indemnification or payment pursuant to Section 9.02 or Section 9.03 (the “Indemnifying Party”), as the case may be, subject to the procedures contained in this Section 9.04. The Claims Notice will describe the Asserted Liability in reasonable detail and will, if possible, indicate the amount of the Loss that has been or may be suffered by the Indemnitee. In no event will the Indemnitee’s failure to give a Claims Notice to the Indemnifying Party relieve the Indemnifying Party of any liability under this Article IX, except to the extent that such failure materially prejudices the Indemnifying Party’s ability to adequately defend such claim.
Section 9.06 Opportunity to Defend. If the Indemnifying Party confirms in writing that it is obligated hereunder to indemnify the Indemnitee with respect to any Asserted Liability, the Indemnifying Party may elect to compromise or defend, at its own expense and with counsel reasonably satisfactory to the Indemnitee, such Asserted Liability; and if the Indemnifying Party so elects to compromise or defend, the Indemnifying Party will have the right to control the defense of such Asserted Liability. If the Indemnifying Party elects to compromise or defend such Asserted Liability, it will within 15 days (or sooner, if the nature of the Asserted Liability so requires) notify the Indemnitee of its intent to do so, and the Indemnitee will cooperate with the Indemnifying Party in the compromise of, or defense against, such Asserted Liability. If the Indemnifying Party elects not to compromise or defend such Asserted Liability, fails to notify the Indemnitee of its election as herein provided or contests its obligation to indemnify under this Agreement, the Indemnitee may pay, compromise or defend such Asserted Liability, and the Indemnitee will have the right to control the defense of such Asserted Liability; and in such case, the Indemnitee will retain the right to pursue its rights to indemnification hereunder against the Indemnifying Party. If the Indemnitee controls the defense pursuant to this Section 9.06, it shall not agree to any settlement without the written consent of the Indemnifying Party (which consent shall not be unreasonably withheld or delayed). Notwithstanding the foregoing provisions of this Section 9.06, the Indemnifying Party may settle or compromise any Asserted Liability; provided, that (i) such settlement or compromise does not result in any liability to, restriction on or admission by the Indemnitee, and (ii) such settlement or compromise constitutes or includes a full release of the Indemnitee. In any event, the Indemnitee may participate, at its own expense, in the defense of any Asserted Liability. If the Indemnifying Party chooses to defend any Asserted Liability, the Indemnitee will make available to the Indemnifying Party any Records within its control that are necessary or appropriate for such defense.
27Section 9.07 Payment of Losses Any Losses for which an Indemnified Party is entitled to indemnification under this Article IX shall be paid by the Indemnifying Party to the Indemnified Party as such Losses are incurred.
Section 9.08 Exclusive Remedies. Intentionally deleted.
Section 9.09 Survival Where Claim Notice is Given. Any Losses of which either Party has validly given a Claims Notice to the other Party in accordance with the requirements of Section 9.05 on or prior to the date such indemnification would otherwise terminate in accordance with Section 9.01, as to which the obligation of the notified Party shall continue solely with respect to the specific matters in such Claims Notice until the liability of notifying Party shall have been determined pursuant to this Article IX, and the Indemnifying Party, if such determination is made, shall have reimbursed all Indemnitees for the full amount of such Losses that are payable with respect to such Claims Notice in accordance with this Article IX.
Section 9.10 Payment of Damages.
(a) Following the final determination (pursuant to a final, non-appealable court of competent jurisdiction or arbitrator, as applicable) of the amount of any Damages payable to a Buyer Indemnified Party pursuant to this Article IX, Seller (or its designee) shall pay to such Buyer Indemnified Party, by wire transfer of immediately available funds to a bank account designated in writing by such Buyer Indemnified Party, (for the benefit of the Buyer) the amount of such Damages within fifteen (15) Business Days after such final determination, cash.
(b) Promptly and in any event within five (5) Business Days following the final determination (pursuant to a final, non-appealable court of competent jurisdiction or arbitrator, as applicable) of the amount of any Damages payable to a Seller Indemnified Party pursuant to this Article IX, Buyer (or its designee) shall pay to the Seller, by wire transfer of immediately available funds to a bank account designated in writing by such Seller Indemnified Party, (for the benefit of the Seller) the amount of such Damages, within ten (10) Business Days after such final determination, cash.
