C. D. In connection with the Business, Loop retains its sole and exclusive right to enter into Loop Sales Contracts for the supply of Licensed Products to Authorized Customers, subject to JV Company’s rights set forth in this Agreement.
E. Loop desires to assign rights and obligations with respect to the fulfillment of a specific volume and delivery of Licensed Product in the Sales Territory, under Loop Sales Contracts to JV Company, and JV Company desires to manufacture and fulfill such Licensed Product supply requirements, as determined by the Parties, all in accordance with the terms and conditions set forth in this Agreement.

Now, therefore, in consideration of the mutual covenants and premises contained in this Agreement, and other good and valuable consideration, the Parties agree as follows.
