Licensor shall provide to Licensee a copy of the Auditor’s audit report within sixty (60) days of Licensor’s receipt of the report. If the report shows that payments made by Licensee are deficient, Licensee shall pay Licensor the deficient amount plus interest on the deficient amount, calculated in accordance with Section 5(d), within thirty (30) days after Licensee’s receipt of the audit report. If payments made by Licensee are found to be deficient by more than five percent (5%), Licensee shall pay for the cost of the audit.

In addition, Licensor may provide Licensee with estimates of charges anticipated for License Patents, including annuities and maintenance payments and if Licensor so provides, then Licensee agrees to pay such estimated charges prior to the first deadline associated with the estimated charges. At Licensee’s request, Licensor shall consult with Licensee as to the preparation, filing, prosecution, and maintenance of the Licensed Patents.
