OnbehalfofRibbonCommunications Inc.(“Ribbon”)andRibbonCommunications OperatingCompany,Inc. (“RCOC”andRibbonandRCOC,togetherwithitsaffiliateswhomayemployyoufromtimetotime,the“Company”), Iampleasedtoprovideyouwiththiswrittenofferappointingyoutothe positionofChiefFinancialOfficereffective May1, 2026.
ThisAgreementisenteredintoasofthe datesetforthaboveandshallbe effectiveasofMay1, 2026.
| 1. | Compensatio**n. DuringyouremploymentwiththeCompany: |
(a)BaseSalary.Yourbasesalarywillbeattheannualized rateof $475,000(yourbasesalary,asmay be adjustedfromtimeto time,“BaseSalary”),lessapplicablelocal,stateand federalwithholdings,paidin accordance withtheCompany’snormalpayrollpractices.YourBaseSalarywillbesubjecttoreviewandadjustmentbyRibbon’s BoardofDirectors(the“Board”)orCompensationCommittee oftheBoard(the “Committee”)initssolediscretion.
(b) AnnualBonus.Youwillcontinuetobeeligibletoreceiveanannualvariablecashbonusbasedon achievementofcertaincorporateand/orindividualobjectives(“AnnualBonus”).Subjecttotheachievementofsuch objectivesfortheapplicableyear,thetargetAnnualBonusshallequalseventy-fivepercent(75%)ofyourBaseSalary. TheAnnualBonusforeachfiscalyearwillbebasedontheachievementofobjectivesdeterminedbytheBoardorthe Committee.YourAnnualBonus,ifany,shallbepaidas soonasreasonablypracticablefollowingRibbon’s public disclosureofitsfinancialresultsfortheapplicablebonusperiodandtheBoard’sorCommittee’sapprovalofthebonus under thethen-applicableRibbonbonusplan,subjecttoyourcontinued employmentwith theCompany throughthe dateofsuchpayment(exceptasotherwise setforthinanywrittenagreementbyandbetweentheCompanyandyou).
(c)Equity.Subjecttoapprovalbythe BoardofDirectorsoritsapplicablecommittee, youwillbeeligibleto receiveannualequityincentiveawardsunderthePlanatsuchtimeasequitygrantsaremadetosimilarsituated employees.Youwillberequiredtoenterintoequityawardagreements intheCompany’sthen-applicableformin connectionwiththe grantoffutureawards.
| 2. | Terminati*on and** Eligibility for Severance*. Thepartiesacknowledgeandagreethattheyarepartytothat certainSeveranceAgreementdatedJanuary29,2020(the “SeveranceAgreement”)whichSeveranceAgreementshall remaininfullforceandeffect. ExceptassetforthintheSeveranceAgreement,youwillnotbeentitledtoany severanceorotherterminationpaymentsorbenefitsfromtheCompanyoranyofits affiliates. Notwithstandingthe foregoingoranythingsetforthintheSeveranceAgreement,intheeventterminationistheresultofyourretirement onorafterattainingage 65*and*atleast5yearscontinuousserviceswiththe Company,youwillbeentitledtoprorata vestingofequityawardssubjecttoperformance-basedvesting andhaveavestingdateafteryourretirementdatewith the termsofsuchprorata vestingsetforthintheawardagreement(s)forsuchequityaward(s), ifany. |
| 3. | Confidentialit**y.TheCompanyconsiderstheprotectionofitsconfidentialinformationandproprietarymaterials tobeofsignificantimportance.WhileyouarecurrentlysubjecttoconfidentialityobligationsinfavoroftheCompany, asaconditionofyourcontinuedemploymentyouwill berequiredtoenterintotheCompany’sthen-current Confidentiality,Non-CompetitionandAssignmentofInventionsAgreement,substantiallyintheformattachedhereto asAttachme*nt *1, whichwillgovernyourconfidentialityandrelatedobligationsona going-forwardbasis. |

| 4. | Indemnit**y. Asanexecutive oftheCompany, the Companywillprovide youwithanIndemnityAgreementon the Company’sstandardform. |
| 5. | General. |
| (a) | This Agreement, together with the agreements referenced herein, will constitute our entire agreement as to your employment by the Company and will supersede any prior agreements or understandings, whether in writing or oral. |
| (b) | Arbitration. |
| i. | Anycontroversy,disputeorclaimarisingoutoforrelatingtothisAgreementorthebreach hereofwhichcannotbesettledbymutualagreementwillbefinallysettledbybindingarbitration inthecountywhereyouperformedyourprincipalworkdutiesfortheCompany,underthe jurisdictionoftheAmericanArbitrationAssociationorothermutuallyagreeable alternative arbitrationdisputeresolutionservice,beforeasinglearbitratorappointedinaccordancewith thearbitrationrulesoftheAmericanArbitrationAssociationorotherselectedservice,modified only ashereinexpressly provided. You acknowledgereceiptof theapplicableAAA EmploymentArbitrationRulesandMediationProcedureswhich maybefoundattheAAA websiteherehttps://www.adr.org/Rules.Thearbitratormayenteradefaultdecisionagainstany partywhofailstoparticipate inthe arbitrationproceedings. |
| ii. | The Federal Arbitration Act, 9 U.S.C. §§ 1 et seq. shall govern the interpretation and enforcementofthisarbitrationclause.Thedecisionofthearbitratoronthepoints indispute willbefinal,non-appealableandbinding,andjudgmenton theawardmaybeenteredinany courthavingjurisdictionthereof. |
| (c) | ThisAgreementshallbegovernedbyandinterpretedinaccordancewiththelawsoftheStateof Delaware, withoutregardtothe conflictoflawsprovisionsthereoforofanyotherjurisdiction. |
